CozmicGo Terms of Service

 

Please read these Terms of Service (“Terms”) carefully as they contain important information about your legal rights, remedies and obligations. By accessing or using the CozmicGo Platform, you agree to comply with and be bound by these Terms.

 

Please note: these Terms contains an arbitration clause and class action waiver that applies to all CozmicGo Members. If your country of residence is the United States, this provision applies to all disputes with CozmicGo. If your country of residence is outside of the United States, this provision applies to any action you bring against CozmicGo in the United States. It affects how disputes with CozmicGo are resolved. By accepting these Terms, you agree to be bound by this arbitration clause and class action waiver. Please read it carefully. IF YOU DO NOT AGREE TO SUCH TERMS AND CONDITIONS, CozmicGo IS NOT WILLING TO PROVIDE YOU WITH ACCESS TO THE SERVICES, AND YOU SHOULD IMMEDIATELY DISCONTINUE YOUR USE OF THE Web site(s) and/or App(s) OR MOBILE APP (S).

You are contracting with CozmicGo INC, Las Vegas, NV 89044, United States.

 

Hosts alone are responsible for identifying, understanding, and complying with all laws, rules and regulations that apply to their Listings and Host Services (as defined below). For example, some cities have laws that restrict their ability to host paying guests for short periods or provide certain Host Services. In some cities, Hosts may have to register, get a permit or obtain a license before providing certain Host Services (such as preparing food, serving alcohol for sale, guiding tours or operating a vehicle). Host are solely responsible for identifying and obtaining any required licenses, permits, or registrations for any Host Services they offer. Certain types of Host Services may be prohibited altogether. Penalties may include fines or other enforcement. If you have questions about how local laws apply to your Listing(s) and Host Service(s) on CozmicGo, you should seek legal guidance.

 

IMPORTANT NOTICE. 

BY SIGNING UP FOR AN ACCOUNT ON THE SITE, YOU ARE INDICATING YOUR ASSENT TO THE TERMS AND CONDITIONS OF THIS AGREEMENT. YOU SHOULD READ ALL THE TERMS OF THIS AGREEMENT CAREFULLY. THIS AGREEMENT, THE COMPANY'S POSTED TERMS OF USE AND ITS POSTED PRIVACY POLICY REPRESENT THE ENTIRE AGREEMENT BETWEEN YOU AND THE COMPANY REGARDING YOUR USE OF THE SITE, AND IT SUPERSEDES ANY PRIOR PROPOSAL, REPRESENTATION, OR UNDERSTANDING BETWEEN THE PARTIES. 

 

IF YOU DO NOT AGREE TO THE BOUND BY ALL THE TERMS OF THIS AGREEMENT, THE COMPANY IS UNWILLING TO GRANT YOU ANY RIGHTS TO USE THE SITE, AND YOU MUST STOP YOUR USE OF CozmicGo. NOTWITHSTANDING THE FOREGOING, USING THE SITE(s) or App(s) INDICATES YOUR ACCEPTANCE OF THE TERMS OF THIS AGREEMENT. 

 

These Terms of Use (the "Agreement") are applicable to the Web pages, applications, mobile applications, programs, products, services, data files, written text, computer software, music, audio files, photographs, videos or other images, content, databases, software code and other information (collectively, the "Services") provided by CozmicGo INC,  ("CozmicGo"), on the Web site(s) and/or App(s) accessed via the Internet (collectively, the "Web site(s) and/or App(s)") owned by CozmicGo.  These Services are made available by CozmicGo subject to the terms and conditions of this Agreement.  

 

Your Agreement With Us. 

These Terms constitute a legally binding agreement ("Agreement") between you and CozmicGo(as defined below) governing your access to and use of the CozmicGo website, including any subdomains thereof, and any other websites through which CozmicGo makes its services available (collectively, "Site"), our mobile, tablet and other smart device applications, and application program interfaces (collectively, "Application") and all associated services (collectively, “CozmicGo Services"). The Site, Application and CozmicGo Services together are hereinafter collectively referred to as the “CozmicGo Platform”. Our Host Terms, Guest Refund Policy, and other Policies applicable to your use of the CozmicGo Platform are incorporated by reference into this Agreement.

 

Scope of CozmicGo Services

 

1.1. The CozmicGo Platform is an online social network with a marketplace that enables registered users (“Members”) to offer services (Members and third parties who offer services are “Hosts” and the services they offer are “experiences/events”) to publish such experiences on the CozmicGo Platform (“Listings”) and to communicate and transact directly with Members that are seeking to book such Host Services (Members using Host Services are “Guests”). Host may include single or multi-day activities in various categories (“Experiences”), access to unique events and locations, and a variety of other related services.

 

1.2. As the provider of the CozmicGo Platform, CozmicGo does not own, create, make, sell, resell, provide, control, manage, offer, deliver, or supply any Listings or Experiences, nor is CozmicGo an organizer or retailer of travel packages under Directive (EU) 2015/2302. Hosts alone are responsible for their Listings and Experiences. When Members make or accept a booking, they are entering into a contract directly with each other. CozmicGo is not and does not become a party to or other participant in any contractual relationship between Members, nor is CozmicGo a real estate broker or insurer. CozmicGo is not acting as an agent in any capacity for any Member, except as specified in the Payments Terms.

 

1.3. While we may help facilitate the resolution of disputes, CozmicGo has no control over and does not guarantee (i) the existence, quality, safety, suitability, or legality of any Listings or Host Services, (ii) the truth or accuracy of any Listing descriptions, Ratings, Reviews, or other Member Content (as defined below), or (iii) the performance or conduct of any Member or third party. CozmicGo does not endorse any Member, Listing, Experience, or Host Services. Any references to a Member being "verified" (or similar language) only indicate that the Member has completed a relevant verification or identification process and nothing else. Any such description is not an endorsement, certification or guarantee by CozmicGo about any Member, including of the Member's identity or background or whether the Member is trustworthy, safe or suitable. You should always exercise due diligence and care when deciding whether to participate in an Experience or Event or use other Host Services, accept a booking request from a Guest, or communicate and interact with other Members, whether online or in person. Verified Images (as defined below) are intended only to indicate a photographic representation of a Listing at the time the photograph was taken, and are therefore not an endorsement by CozmicGo of any Host or Listing.

 

1.4. To promote the CozmicGo Platform and to increase the exposure of Listings to potential Guests, Listings and other Member Content may be displayed on other websites, in applications, within emails, and in online and offline advertisements. To assist Members who speak different languages, Listings and other Member Content may be translated, in whole or in part, into other languages. CozmicGo cannot guarantee the accuracy or quality of such translations and Members are responsible for reviewing and verifying the accuracy of such translations. The CozmicGo Platform may contain translations powered by Google or other software. Google disclaims all warranties related to the translations, express or implied, including any warranties of accuracy, reliability, and any implied warranties for merchantability, fitness for a particular purpose and non-infringement.

 

1.5. Due to the nature of the Internet, CozmicGo cannot guarantee the continuous and uninterrupted availability and accessibility of the CozmicGo Platform. CozmicGo may restrict the availability of the CozmicGo Platform or certain areas or features thereof, if this is necessary in view of capacity limits, the security or integrity of our servers, or to carry out maintenance measures that ensure the proper or improved functioning of the CozmicGo Platform. CozmicGo may improve, enhance, and modify the CozmicGo Platform and introduce new CozmicGo Services from time to time. Your continued use of the Services shall constitute your acceptance of this Agreement and your continued use of the Services following any modification of this Agreement shall constitute your acceptance of such modifications to this Agreement.

 

 

2. Eligibility, Using the CozmicGo Platform, Member Verification

 

2.1. In order to access and use the CozmicGo Platform or register a CozmicGo Account you must be an individual at least 18 years old or a duly organized, validly existing business,

 organization or other legal entity in good standing under the laws of the country you are established and able to enter into legally binding contracts.

 

2.2. You will comply with any applicable export control laws in your local jurisdiction. You also represent and warrant that (i) neither you nor your Host Service(s) are located or take place in a country that is subject to a U.S. Government embargo, or that has been designated by the U.S. Government as a "terrorist supporting" country, and (ii) you are not listed on any U.S. Government list of prohibited or restricted parties.

 

2.3. CozmicGo may make access to and use of the CozmicGo Platform, or certain areas or features of the CozmicGo Platform, subject to certain conditions or requirements, such as completing a verification process, meeting specific quality standards or eligibility criteria, meeting Ratings or Reviews thresholds, or a Member’s booking and cancellation history.

 

2.4. The access to or use of certain areas and features of the CozmicGo Platform may be subject to separate policies, standards or guidelines, or may require that you accept additional terms and conditions, before you can access the relevant areas or features of the CozmicGo Platform. If there is a conflict between these Terms and terms and conditions applicable to a specific area or feature of the CozmicGo Platform, the latter terms and conditions will take precedence with respect to your access to or use of that area or feature, unless specified otherwise in the latter terms and conditions.

 

2.5. If you access or download the Application from the Apple App Store, you agree to Apple’s Licensed Application End User License Agreement. Some areas of the CozmicGo Platform may implement Google Maps/Earth mapping services or other web mapping services, including Google Maps API(s). Your use of Google Maps/Earth is subject to the Google Maps/Google Earth Additional Terms of Service and any other web mapping service is subject to their additional terms of service.

 

2.6 Hosts with banking providers in the following countries are currently able to receive payments on CozmicGo for hosting experiences. Please check for updates of additional countries (India and Brazil are in beta and should be available soon): Australia, Austria, Belgium, Bulgaria, Canada, Cyprus, Czech Republic, Denmark, Estonia, Finland, France, Germany, Greece, Hong Kong, Ireland, Italy, Latvia, Lithuania, Luxembourg, Malta, Netherlands, New Zealand, Norway, Poland, Portugal, Romania, Singapore, Slovakia, Slovenia, Spain, Sweden, Switzerland, United Kingdom, United States. 

 

2.7 Guests from any country can book and make payments for events if you have added an      acceptable payment method in your app settings > “Payment Method.”

 

Account Registration

 

3.1. You must register an account ("CozmicGo Account") to access and use certain features of the CozmicGo Platform, such as publishing or booking a Listing.  All listings shall clearly define the individual/(s) hosting the specific experience and who is hosting each event of the experience. An event is defined as a specific time and date of an experience. If we decide to allow businesses to publish listings, if you are registering a CozmicGo Account for a business, organization or other legal entity, you represent and warrant that you have the authority to legally bind that entity and grant us all permissions and licenses provided in these Terms. 

 

Hosting Experiences:

You must host the experience you post. We believe the host is the most valuable part of any experience and our eco-system of peer to peer experiences relies on user’s hosting their own experiences. 

 

3.2. You must provide accurate, current and complete information during the registration process and keep your CozmicGo Account and public CozmicGo Account profile page information up-to-date at all times.

 

3.3. You may not register more than one (1) CozmicGo Account unless CozmicGo authorizes you to do so. You may not assign or otherwise transfer your CozmicGo Account to another party.

 

3.4. You are responsible for maintaining the confidentiality and security of your CozmicGo Account credentials and may not disclose your credentials to any third party. You must immediately notify CozmicGo if you know or have any reason to suspect that your credentials have been lost, stolen, misappropriated, or otherwise compromised or in case of any actual or suspected unauthorized use of your CozmicGo Account. You are liable for any and all activities conducted through your CozmicGo Account, unless such activities are not authorized by you and you are not otherwise negligent (such as failing to report the unauthorized use or loss of your credentials).

 

3.5. CozmicGo may enable features that allow you to authorize other Members or certain third parties to take certain actions that affect your CozmicGo Account. For example, we may enable Members to link their CozmicGo Accounts to businesses and take actions for those businesses, we may enable eligible Members or certain third parties to book Listings on behalf of other Members, or we may enable Hosts to collaborate with other Members as Co-Hosts to participate with them during experiences. These features do not require that you share your credentials with any other person. No third party is authorized by CozmicGo to ask for your credentials, and you shall not request the credentials of another Member.

 

Content

4.1. CozmicGo may, at its sole discretion, enable Members to (i) create, upload, post, send, receive and store content, such as text, photos, audio, video, or other materials and information on or through the CozmicGo Platform ("Member Content"); and (ii) access and view Member Content and any content that CozmicGo itself makes available on or through the CozmicGo Platform, including proprietary CozmicGo content and any content licensed or authorized for use by or through CozmicGo from a third party (“CozmicGo Content" and together with Member Content, "Collective Content").

 

4.2. The CozmicGo Platform, CozmicGo Content, and Member Content may in its entirety or in part be protected by copyright, trademark, and/or other laws of the United States and other countries. You acknowledge and agree that the CozmicGo Platform and CozmicGo Content, including all associated intellectual property rights, are the exclusive property of CozmicGo and/or its licensors or authorizing third-parties. You will not remove, alter or obscure any copyright, trademark, service mark or other proprietary rights notices incorporated in or accompanying the CozmicGo Platform, CozmicGo Content or Member Content. All trademarks, service marks, logos, trade names, and any other source identifiers of CozmicGo used on or in connection with the CozmicGo Platform and CozmicGo Content are trademarks or registered trademarks of CozmicGo in the United States and abroad. Trademarks, service marks, logos, trade names and any other proprietary designations of third parties used on or in connection with the CozmicGo Platform, CozmicGo Content, and/or Collective Content are used for identification purposes only and may be the property of their respective owners. Unless otherwise noted, all materials, including but not limited to the Web site(s) and/or App(s), all articles, text, graphics, logos, images, illustrations, designs, icons, photographs, video clips, audio clips, all menu pages, underlying HTML code, and software that is part of the Web site(s) and/or App(s), are protected under copyright laws and are the trademarks, trade dress and/or other intellectual properties owned, controlled or licensed by CozmicGo, the Hosts, and the Information Providers. Further, the computer code created by or for CozmicGo to generate the Web site(s) and/or App(s) is protected by copyright and any copying or adapting of such code is strictly prohibited.  

 

4.3. You will not use, copy, adapt, modify, prepare derivative works of, distribute, license, sell, transfer, publicly display, publicly perform, transmit, broadcast or otherwise exploit the CozmicGo Platform or Collective Content, except to the extent you are the legal owner of certain Member Content or as expressly permitted in these Terms. No licenses or rights are granted to you by implication or otherwise under any intellectual property rights owned or controlled by CozmicGo or its licensors, except for the licenses and rights expressly granted in these Terms.

Notwithstanding the foregoing, you may print hard copies of pages from the Web site(s) and/or App(s) and the printable versions displayed therein for your personal, temporary, non-commercial use, provided you maintain all copyright and other notices contained therein. Notwithstanding the foregoing, you may share or display copies of pages from the Website(s) and/or App(s) with intent to drive paying and/or non paying customers/guests to CozmicGo Website(s) and/or App(s).   No other copying of the Web site(s) and/or App(s), in whole or in part, is permitted without CozmicGo's prior express written authorization, which may be withheld for any reason.  

 

 

4.4. Subject to your compliance with these Terms, CozmicGo grants you a limited, non-exclusive, non-sub-licensable, revocable, non-transferable license to (i) download and use the Application on your personal device(s); and (ii) access and view any Collective Content made available on or through the CozmicGo Platform and accessible to you, solely for your personal and non-commercial use.

4.5. By creating, uploading, posting, sending, receiving, storing, or otherwise making available any Member Content on or through the CozmicGo Platform, you grant to CozmicGo a non-exclusive, worldwide, royalty-free, irrevocable, perpetual (or for the term of the protection), sub-licensable and transferable license to such Member Content to access, use, store, copy, modify, prepare derivative works of, distribute, publish, transmit, stream, broadcast, and otherwise exploit in any manner such Member Content to provide and/or promote the CozmicGo Platform, in any media or platform. Insofar as Member Content (including Verified Images) includes personal information, such Member Content will only be used for these purposes if such use complies with applicable data protection laws in accordance with our Privacy Policy. Unless you provide specific consent, CozmicGo does not claim any ownership rights in any Member Content and nothing in these Terms will be deemed to restrict any rights that you may have to use or exploit your Member Content.

 

4.6. You are solely responsible for all Member Content that you make available on or through the CozmicGo Platform. Accordingly, you represent and warrant that: (i) you either are the sole and exclusive owner of all Member Content that you make available on or through the CozmicGo Platform or you have all rights, licenses, consents and releases that are necessary to grant to CozmicGo the rights in and to such Member Content, as contemplated under these Terms; and (ii) neither the Member Content nor your posting, uploading, publication, submission or transmittal of the Member Content or CozmicGo's use of the Member Content (or any portion thereof) as contemplated under these Terms will infringe, misappropriate or violate a third party's patent, copyright, trademark, trade secret, moral rights or other proprietary or intellectual property rights, or rights of publicity or privacy, or result in the violation of any applicable law or regulation.

To deliver the Services, it may be necessary for CozmicGo or Google's advertising management program or other analytics software, as may be used on the Web site(s) and/or App(s), to collect information about you and your use of the Web site(s) and/or App(s).  For more information please read the Privacy Policy posted by CozmicGo on or in connection with the Services, whose terms are incorporated by this reference.  

You agree to accept sole responsibility for: (1) any use of Internet facilities conducted or permitted by you or your agents, contractors, employees or other guests; (2) the conduct of any business, advertising, marketing or sales in connection therewith; and (3) any negligent or illegal act or omission of you or your agents, contractors, employees or other guests.  

 

 

4.7. Notwithstanding the foregoing, we have no duty to edit or review materials submitted by guests, hosts, or any user of CozmicGo.  CozmicGo, the Hosts, and the Information Providers give no assurances whatsoever regarding the information or materials available on the Web site(s) and/or App(s). You will not post, upload, publish, submit or transmit any Member Content that: (i) is fraudulent, false, misleading (directly or by omission or failure to update information) or deceptive; (ii) is defamatory, libelous, obscene, pornographic, soliciting sexual relations, vulgar or offensive; (iii) promotes discrimination, bigotry, racism, hatred, harassment or harm against any individual or group; (iv) is violent or threatening or promotes violence or actions that are threatening to any other person; or that could encourage criminal or unethical behavior or invade another person's privacy (v) promotes illegal or harmful activities or substances; or (vi) violates CozmicGo’s Content Policy or any other CozmicGo policy. (vii) post or transmit any pyramid schemes, chain letters. (viii) post or transmit a virus or any other harmful component. (viv) contact other guests of the Web site(s) and/or App(s) through unsolicited e-mail, telephone calls, mailings or any other method of communication.  CozmicGo may, without prior notice, remove or disable access to any Member Content that CozmicGo finds to be in violation of applicable law, these Terms or CozmicGo’s then-current Policies or Standards, or otherwise may be harmful or objectionable to CozmicGo, its Members, third parties, or property.

 

 

4.8. CozmicGo respects copyright law and expects its Members to do the same. If you believe that any content on the CozmicGo Platform infringes copyrights you own, please notify us in accordance with our Copyright Policy.

 

Use of Our Services and Site. 

 

You agree you will only use our Site or services to make legitimate reservations and shall not make speculative, false or fraudulent bookings or bookings in anticipation of demand. You will only use our Site and services in compliance with applicable law.

When retrieving information from the Services, you are expressly prohibited from: (1) using or attempting to use data mining, spiders, robots, intelligent agents, or any other similar data gathering, extraction or navigation search methods except for a normal browser; (2) aggregating, copying or duplicating any of the materials or information available from the Web site(s) and/or App(s) except for the small amount of materials and information temporarily required for an ordinary single use of the Web site(s) and/or App(s); or (3) accessing data not intended for such guest.  

 

Hyperlinks on the Web site(s) and/or App(s).  

 

CozmicGo may from time to time, directly or indirectly, provide hyperlinks ("links") to or, in our sole discretion, accept links from Web site(s) and/or App(s)s of third parties.  CozmicGo does not control or maintain the material presented by other persons in their Web site(s) and/or App(s).  The inclusion of any link on the Web site(s) and/or App(s) does not imply an association or relationship between CozmicGo and the person or entity sponsoring the linked site and does not constitute or imply an endorsement, approval or sponsorship of the linked site by CozmicGo, or the endorsement, approval or sponsorship of CozmicGo by the sponsor of the linked site.  The links do not imply legal authority to use any protected rights of others reflected in the links.  We do not vouch for or assume any responsibility for the content, accuracy or completeness of the material presented directly or indirectly in linked sites.  If you use any of the links, you may be directed to another site and leave the Web site(s) and/or App(s).

Prohibited Activities

5.1. You are solely responsible for compliance with any and all laws, rules, regulations, and Tax obligations that may apply to your use of the CozmicGo Platform. In connection with your use of the CozmicGo Platform, you will not and will not assist or enable others to:

 

breach or circumvent any applicable laws or regulations, agreements with third-parties, third-party rights, or our Terms, Policies or Standards;

use the CozmicGo Platform or Collective Content for any commercial or other purposes that are not expressly permitted by these Terms or in a manner that falsely implies CozmicGo endorsement, partnership or otherwise misleads others as to your affiliation with CozmicGo;

copy, store or otherwise access or use any information, including personally identifiable information about any other Member, contained on the CozmicGo Platform in any way that is inconsistent with CozmicGo’s Privacy Policy or these Terms or that otherwise violates the privacy rights of Members or third parties;

use the CozmicGo Platform in connection with the distribution of unsolicited commercial messages ("spam");

offer, as a Host, any experience that you do not yourself have permission to make available through the CozmicGo Platform;

unless CozmicGo explicitly permits otherwise, book any Listing if you will not actually be using the Host Services yourself;

contact another Member for any purpose other than asking a question related to a your own booking, Listing, or the Member's use of the CozmicGo Platform, including, but not limited to, recruiting or otherwise soliciting any Member to join third-party services, applications or websites, without our prior written approval;

use the CozmicGo Platform to request, make or accept a booking independent of the CozmicGo Platform, to circumvent any Service Fees or for any other reason;

request, accept or make any payment for Listing Fees outside of the CozmicGo Platform or CozmicGo . If you do so, you acknowledge and agree that you: (i) would be in breach of these Terms; (ii) accept all risks and responsibility for such payment, and (iii) hold CozmicGo harmless from any liability for such payment;

discriminate against or harass anyone on the basis of race, national origin, religion, gender, gender identity, physical or mental disability, medical condition, marital status, age or sexual orientation, or otherwise engage in any violent, harmful, abusive or disruptive behavior;

misuse or abuse any Listings or services associated with the CozmicGo program as determined by CozmicGo in its sole discretion.

use, display, mirror or frame the CozmicGo Platform or Collective Content, or any individual element within the CozmicGo Platform, CozmicGo's name, any CozmicGo trademark, logo or other proprietary information, or the layout and design of any page or form contained on a page in the CozmicGo Platform, without CozmicGo's express written consent;

dilute, tarnish or otherwise harm the CozmicGo brand in any way, including through unauthorized use of Collective Content, registering and/or using CozmicGo or derivative

terms in domain names, trade names, trademarks or other source identifiers, or registering and/or using domains names, trade names, trademarks or other source identifiers that closely imitate or are confusingly similar to CozmicGo domains, trademarks, taglines, promotional campaigns or Collective Content;

use any robots, spider, crawler, scraper or other automated means or processes to access, collect data or other content from or otherwise interact with the CozmicGo Platform for any purpose;

avoid, bypass, remove, deactivate, impair, descramble, or otherwise attempt to circumvent any technological measure implemented by CozmicGo or any of CozmicGo's providers or any other third party to protect the CozmicGo Platform;

attempt to decipher, decompile, disassemble or reverse engineer any of the software used to provide the CozmicGo Platform;

take any action that damages or adversely affects, or could damage or adversely affect the performance or proper functioning of the CozmicGo Platform;

export, re-export, import, or transfer the Application except as authorized by United States law, the export control laws of your jurisdiction, and any other applicable laws; or

violate or infringe anyone else’s rights or otherwise cause harm to anyone.

 

5.2. You acknowledge that CozmicGo has no obligation to monitor the access to or use of the CozmicGo Platform by any Member or to review, disable access to, or edit any Member Content, but has the right to do so to (i) operate, secure and improve the CozmicGo Platform (including without limitation for fraud prevention, risk assessment, investigation and customer support purposes); (ii) ensure Members’ compliance with these Terms; (iii) comply with applicable law or the order or requirement of a court, law enforcement or other administrative agency or governmental body; (iv) respond to Member Content that it determines is harmful or objectionable; or (v) as otherwise set forth in these Terms. Members agree to cooperate with and assist CozmicGo in good faith, and to provide CozmicGo with such information and take such actions as may be reasonably requested by CozmicGo with respect to any investigation undertaken by CozmicGo or a representative of CozmicGo regarding the use or abuse of the CozmicGo Platform.

 

5.3. If you feel that any Member you interact with, whether online or in person, is acting or has acted inappropriately, including but not limited to anyone who (i) engages in offensive, violent or sexually inappropriate behavior, (ii) you suspect of stealing from you, or (iii) engages in any other disturbing conduct, you should immediately report such person to the appropriate authorities and then to CozmicGo by contacting us with your police station and report number (if available). You agree that any report you make will not obligate us to take any action (beyond that required by law, if any).

All concepts, ideas, comments, manuscripts, illustrations and all other materials disclosed or offered on or in connection with the Web site(s) and/or App(s) are submitted without any restrictions or expectation of confidentiality.  CozmicGo shall not have any financial or other obligations to you when you submit such information, nor shall you assert any proprietary or moral right of any kind with respect to such submissions.  We shall have the right to use, publish, distribute, transmit, download, upload, post, display or otherwise distribute your submissions in any manner without notice or compensation to you.  

 

CozmicGo does not represent or warrant that information and content provided in connection with the Services is or will be always up-to-date, complete, accurate or available for viewing.  The Services include facts, views, opinions and recommendations of individuals and organizations deemed of interest.  Neither CozmicGo, the Hosts, nor the Information Providers guarantee the accuracy, completeness or timeliness of, or otherwise endorses, these views, opinions or recommendations.  CozmicGo reserves the right (but shall have no obligation) to pre-screen, review, flag, filter, modify, refuse or remove any content from the Web site(s) and/or App(s).  CozmicGo will take reasonable efforts to correct any inaccuracies that are brought to its attention; provided, however, that CozmicGo assumes no responsibility for incorrect information collected from any of the Hosts, any delay, changes in his/her schedule, strikes, injury, weather, fire, theft, quarantine, medical or customs regulations and similar acts or incidents beyond CozmicGo's control.  CozmicGo is not responsible for any arrangements made between you and the Host.  

 

If, through the use of the Services, you decide to submit, enter or transmit information or materials of any kind, you are solely responsible for ensuring that you may do so and that such information and materials can be accessed, used, copied, distributed and adapted by other guests of the Services (including CozmicGo and its Information Providers) without liability or restriction.  You agree to indemnify, defend and hold harmless CozmicGo, the Hosts, and the Information Providers from any damage, loss, cost or expense which may be incurred by CozmicGo as a result of the material you link, upload, post or transmit to the Web site(s) and/or App(s).   

 

Termination

 

In accordance with the terms and conditions of this Agreement, CozmicGo may discontinue or change the Services, or their availability to you, immediately, in its sole discretion, at any time without cause.  CozmicGo may terminate this Agreement and your access to and use of the Services, or any portion thereof, immediately, in its sole discretion, at any time without cause.

Disclaimer of Warranties.

TO THE MAXIMUM EXTENT PERMISSIBLE BY LAW, NEITHER CozmicGo NOR ANY OF THE Hosts NOR ANY OF THE INFORMATION PROVIDERS, SUBSIDIARIES, AFFILIATES, SERVICE PROVIDERS, LICENSORS, OFFICERS, DIRECTORS, SHAREHOLDERS, EMPLOYEES OR AGENTS SHALL BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR EXEMPLARY DAMAGES ARISING OUT OF OR RELATING TO THIS AGREEMENT, YOUR USE OF THE SERVICES, ACCESS TO OR INABILITY TO ACCESS THE SERVICES, USE OF OR RELIANCE ON THE INFORMATION IN OR THROUGH THE SERVICES, OR RESULTING FROM THE USE OR THE INABILITY TO USE THE SERVICES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, USE, DATA, GOODWILL, BUSINESS REPUTATION, THE COST OF PROCUREMENT OF SUBSTITUTE GOODS OR SERVICES, OR ANY OTHER INTANGIBLE LOSS, EVEN IF SUCH PARTY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.  NEITHER CozmicGo NOR ANY OF THE Hosts NOR ANY OF THE INFORMATION PROVIDERS, SUBSIDIARIES, AFFILIATES, SERVICE PROVIDERS, LICENSORS, OFFICERS, DIRECTORS, SHAREHOLDERS, EMPLOYEES OR AGENTS SHALL BE LIABLE TO YOU OR OTHERS FOR LIABILITY OR DAMAGES UNDER CONTRACT OR TORT THEORIES OR ANY DAMAGES CAUSED BY VIRUSES, "TROJAN HORSES," "WORMS," "TIME BOMBS," OR ANY OTHER DAMAGING COMPUTER PROGRAMMING ROUTINES OR ENGINES CONTAINED WITHIN ELECTRONIC FILES OF THE Web site(s) and/or App(s) OR ANY LINKED SITE, REGARDLESS OF PRIOR NOTICE TO CozmicGo, THE Hosts, OR THE INFORMATION PROVIDERS.  IN NO EVENT SHALL CozmicGo BE LIABLE FOR DAMAGES TO YOU OR ANY THIRD PARTY FOR ANY DEFICIENCY, ERROR OR INTERRUPTION IN THE SERVICES.  

 

Limitation of Claims.  

Unless statute mandates a lesser period, any action on any claim against CozmicGo, the Hosts, and/or the Information Providers must be filed by the guest within one (1) year following the date the claim first accrued or it shall be deemed waived.  You are solely responsible for your interactions with the Hosts and the Host is solely responsible for their actions with you.  CozmicGo reserves the right, but shall have no obligation, to monitor disputes between you and the Host, or Vice Versa, and take appropriate action if, in its sole discretion, CozmicGo finds any violation of this Agreement or other improper conduct.

 

Indemnification.  

You agree to indemnify, defend and hold harmless CozmicGo, any associated entities, managers, members, officers, employees and agents from and against any and all losses, damages, expenses (including, without limitation, court costs, amounts paid in settlement, judgments, attorneys' fees or other expenses for investigating and defending, including, without limitation, those arising out of the enforcement of this Agreement), suits, actions, claims, deficiencies, liabilities or obligations (collectively, "Losses") sustained or incurred by CozmicGo relating to, or arising out of, (a) your use of and access to the Web site(s) and/or App(s); (b) your use of the Services; (b) your violation of this Agreement; (c) your violation of any third party right, including, without limitation, any copyright, property or privacy right; (d) any claim that one of your submissions to the Web site(s) and/or App(s) caused Losses to a third party; or (e) personal injury or property damage, of any nature whatsoever, resulting from your access to and/or use of the Web site(s) and/or App(s) or taking an experience, activity, event, class, trip, or experience  with the Hosts.

For information about our data protection practices, please read our Privacy Policy as posted on the Web site(s) and/or App(s).  This policy explains how CozmicGo treats your personal information and protects your privacy when you use the Services.  In using the Services, you agree to the use of your data in accordance with our Privacy Policy. 

 

Additional Disclosures and Information.

Excluding any services provided to you by CozmicGo under a separate written agreement, this Agreement together with CozmicGo's Privacy Policy and policies posted on the Web site(s) and/or App(s) constitute the entire agreement between you and CozmicGo regarding the use of Services appearing on the Web site(s) and/or App(s) and supersede any and all previous and contemporaneous oral and written agreements between you and CozmicGo regarding your use of the Web site(s) and/or App(s) and/or the Services.The Web site(s) and/or App(s) (excluding linked sites) are controlled by CozmicGo from its offices within the State of California, U.S.A.  By accessing the Web site(s) and/or App(s), you and CozmicGo agree that all matters relating to your access to, or use of, the Web site(s) and/or App(s) shall be governed by the statutes and laws of the State of California, without regard to conflicts of laws principles.  You and CozmicGo also agree and hereby submit to the exclusive personal jurisdiction and venue of the Superior Court of Contra Costa County and the United States District Court for the Northern District of California with respect to such matters.  CozmicGo makes no representation that the Services (and the content and information included therein) are appropriate for use in other locations.  Those who choose to access the Services from locations outside California shall be responsible for compliance with local laws, if and to the maximum extent local laws may be applicable.  Notwithstanding the foregoing, you agree that CozmicGo shall still be allowed to apply for injunctive relief (or an equivalent type of urgent legal relief) in any jurisdiction.  If, for any reason, a court of competent jurisdiction finds any provision of this Agreement, or portion thereof, to be unenforceable, that provision shall be enforced to the maximum extent permissible so as to effect the intent of CozmicGo as reflected by that provision, and the remainder of this Agreement shall continue in full force and effect.  Any failure by CozmicGo to enforce or exercise any provision of this Agreement or related rights shall not constitute a waiver of that right or provision.  The headings used in this Agreement are inserted only for convenience and ease of reference and are not to be considered in the construction or interpretation of any provision of this Agreement. CozmicGo may make changes to these Terms of Use from time to time.  When these changes are made, CozmicGo will post a new copy of the Terms of Use on the Web site(s) and/or App(s).  You understand and agree that if you use the Services after the date on which the Terms of Use have changed, CozmicGo will treat your use as acceptance of the updated Terms of Use.  For additional information about the Web site(s) and/or App(s) or the Services, please contact us using the e-mail form available on the "Contact" page of the Web site(s) and/or App(s).

Cancellation Policy

 

Standard cancellation policy for guest

 

If the Guest cancels his/her booking for the Experience  at least 7 days before the Experience 's Start Time, the Guest's funds will be fully refunded from Stripe's Escrow Service into the Guest's bank account or credit card.  If the Guest cancels his/her booking for the Experience  within 7 days of the Start Time, the Guest may (or may not) receive a refund, in the Host's discretion. 

The cancellation policy does not apply to free experiences.  Guests may cancel free experiences at any time before the event start time. 

 

Once the experience begins or slightly before if possible, the Host will check-in each guest in the group. If you are unable to make it, please cancel as soon as possible to notify the Host so they can plan accordingly. Hosts are not required to wait for any guests past the start time of the experience as it can hinder the experience for other guests. 

 

Canceling a session as a Host

Cancellations can be very disruptive to guests' plans.The Host can cancel any of their upcoming experiences up to 24 hours before the scheduled experience. Whether it’s personal or weather related, we encourage you to message your participants directly to communicate the cancellation. 

 

Three failed cancellations (cancellations not done at least 24 hours in advance) within a 12 month period will result in the suspension of your account. CozmicGo will notify you of your account suspension and conduct a review of your status.

 

“No Shows” as a Host

If a host does not cancel an event and not show up, (“No Show”), the host may incur a fee up to 20% of the booking value of the event deducted from an upcoming payment.  A No Show may result in removal of the experience from CozmicGo and could suspend your account immediately. 

 

“No Shows” as a Guest

If you have paid for an experience and do not show or abide by the cancellation policy you will be charged for the event. If you have booked a free experience and do not show without canceling your booking it will reflect negatively upon your standing and numerous no shows could suspend your account.  

 

Refund period for guests

The period during which a Guest may request a refund for an experience (the "Refund Period") is within 48 hours of the end of duration listed for the experience.  During the Refund Period, a Guest may first request a refund from the Host and explain the reason for the refund or secondly may request a refund with the “report a problem” tab under settings.  If there is a dispute for the refund CozmicGo shall decide whether or not to refund the Guest's funds based on the submitted information between the guest and the host. Refunds are not applicable to free experiences.

 

Eligible Issues and Refund Policy

The following situations are “Issues” that are eligible for a refund under the Experiences Guest Refund Policy:

The Host fails to carry out the booked Experience or arrives more than 15 minutes past the stated start time, causing the Guest to abandon the Experience.

The Host makes significant changes to the Experience after booking.

The Experience contains a safety or health hazard that would be reasonably expected to adversely affect the Guest’s participation in the Experience.

 

If CozmicGo determines that a Guest experienced an Issue, CozmicGo will, at its discretion, provide the Guest with a refund up to a maximum of the Total Fees the Guest paid for the Experience in accordance with this Policy. The amount of any refund will depend on the nature of the Issue suffered. 

As a Host, you are responsible for ensuring that the Experience you list on the CozmicGo Platform meets CozmicGo’s Experiences Platform Standards and does not present a Guest with  Issues. Before and during the Experience, Hosts should be available, or make a third-party available, in order to try, in good faith, to resolve any Guest issues.

 

If (i) CozmicGo determines that a Guest has suffered an Issue related to your Experience and (ii) CozmicGo reimburses that Guest (up to their Total Fees), you agree to reimburse CozmicGo up to the amount paid by CozmicGo within 30 days of CozmicGo’s request. You authorize CozmicGo to collect any amounts owed to CozmicGo by reducing your Payout or as otherwise permitted pursuant to the Payments Terms.

 

As a Host, you understand that the rights of Guests under this Experiences Guest Refund Policy will supersede the Experiences Cancellation Policy. If you dispute the Issue, you may notify us in writing and provide us with information (including photographs or other evidence) disputing the claims regarding the Issue, provided you used reasonable and good faith efforts to try to remedy the Issue with the Guest prior to disputing the Issue claim.

 

Cancelation due to weather 

The Host may cancel a scheduled Experience  prior to the Start Time based on weather, conditions, unforeseen issues, or emergency, but the Host must provide the reason for the cancellation to the Guest.  If the Host cancels the Experience  due to illness after accepting the booking request, the Guest's funds shall be fully refunded by the Host to the Guest's bank account or credit card and Host shall not be compensated for the cancelled Experience .  If a Claim is made and the Company, in its sole discretion, determines based on the facts and circumstances that the Guest deserves a refund, the Company may issue to the Guest a credit towards another Experience . 

 

Cancellations due to an emergency

Refer to the extenuating circumstances policy if you need to cancel due to an emergency. We may ask you to provide documentation.

California law requires us to ensure the privacy of our customers' personal information.  California law also requires us to provide information to you regarding our Privacy Policy and the designated means by which you may inquire about our policy.

1.    Overview of our Privacy Policy.  

In accordance with California Civil Code Section 1798.83, as amended from time to time, when you visit the Web site(s) and/or App(s) or request information from us, we collect personal information, such as your name, address(es), electronic mail address, telephone number and business affiliation.  We also collect this information when you set up an online account with us, save or post any information online with us, participate in any surveys or promotions sponsored by us, or sign up to receive our newsletter or other promotional mailings.  We may maintain a record of your interests and inquiries.   

 

The shopping cart located on the Web site(s) and/or App(s) is operated by Stripe.  Among other things, Stripe manages the ordering system.  In addition, Stripe manages all order and customer credit or debit card data.  In connection with your use of the shopping cart and purchase of experiences from the Web site(s) and/or App(s), it is likely Stripe will collect information about your shopping experience.  Please refer to Stripe's Privacy Policy, which governs the use of your personal information by Stripe.  CozmicGo shall have no responsibility for the use or misuse of your personal information by Stripe.

 

2.    How does CozmicGo use my information?

We use the information we collect to deliver information on the Web site(s) and/or App(s) about the products and/or services you requested, to connect you with the Hosts associated with the experience (s) you selected, to provide you with information about related products and services, to provide other promotional materials, to improve the Web site(s) and/or App(s), and to better administer and troubleshoot problems with the Web site(s) and/or App(s).  CozmicGo shall have no responsibility for the use or misuse of your personal information by the Hosts. 

When you request information from us, we use your personal information to respond to you via phone, mail or e-mail in accordance with your request.  We may also use your address and e-mail address to send you information about CozmicGo's products, services, events and promotions.  If you participate in a promotion (online or over the phone), we may use your personal information to send you e-mails, mail, or telephone calls (including text messages) regarding CozmicGo's available experiences, services and promotions.  From time to time, we may use this information to contact you via e-mail, mail, or telephone to learn more about your preferences.  You always have the choice not to receive marketing information mailings or calls from CozmicGo; you just need to let us know.   

 

We may also use the information about your interests and purchases from Stripe to help us improve the site design and your online experiences.  We may contact you, subject to the choices you have made, via e-mail, mail or telephone, to conduct market research and learn more about how we can improve our offerings.   

 

To serve you better, we may combine information you give us and information about your interests with information from third parties, including demographic information and information that is publicly available.  We may also combine this information with information from Stripe.  We use that combined information to enhance and personalize your online experience with us and to communicate with you in accordance with this Privacy Policy.   

 

3.    Does CozmicGo share my information with third parties other than the Hosts and Stripe?

CozmicGo will not share your personal information with third parties for marketing purposes; provided, however, we may share generic aggregated demographic information not linked to any personal identification information regarding visitors and guests with our business partners.  In accordance with Google's policies, however, Google may monitor your activity on the Web site(s) and/or App(s).  In addition, CozmicGo's contracts with service providers to maintain and manage our customer information, for the e-commerce portion of the  Web site(s) and/or App(s), to fulfill promotions, and to communicate with our customers.  We do not authorize any of these service providers to make any other use of your information.   

 

CozmicGo reserves the right to disclose information about you as required by law, in response to legal process and law enforcement requests, and as necessary to protect the property, interests and rights of CozmicGo, its authorized affiliates, and others. 

 

4. How do I OPT OUT of receiving promotional communications?  

We want to communicate with you only if you want to hear from us.  If you prefer not to receive promotional information from us, or if you do not want us to use your information to enhance your online experience, you may OPT OUT of receiving our promotional communications at no cost to you.  You should be aware that you will need to OPT OUT each time you contact us electronically by means of the Web site(s) and/or App(s) or save your information online.   

 

To OPT OUT, please let us know by emailing us at support@cozmicgo.org. If you ask us to remove your name and address from promotional lists, we will maintain your name in our "do not contact" list to ensure that we can honor your request.  Note that it may take up to four (4) weeks to process your opt out request, during  which time you may continue to receive communications from CozmicGo. 

 

Opting out with CozmicGo does not mean you have opted out with the Hosts, Google or Stripe.  Please consult these third parties' respective Privacy Policies and related policies for information regarding any related OPT OUT opportunities.   

 

If you would like to request information about what we collect, please feel free to call or write us as well.  In accordance with California law, we will respond in writing to your request within thirty (30) days.

We use cookies in order to improve your online experience.  We use cookies in connection with the login and posting of information on the blog or electronic comments board available on the site.  Through our use of an HTTP referrer tool, we may also track and maintain the identity of the Web site(s) and/or App(s) you visited immediately prior to visiting the Web site(s) and/or App(s).  We do not otherwise track any information about your use of other Web site(s) and/or App(s)s.

8. Is my information secure?

We believe your data must be protected against loss and unauthorized access.  On our e-commerce pages, Stripe uses procedural and technical safeguards to protect your personal information against loss or theft as well as unauthorized access and disclosure to protect your privacy, including encryption, firewalls and Secured Socket Layer (SSL) encryption technology.  SSL technology, an industry standard, is designed to prevent someone other than the operators of the Web site(s) and/or App(s) and our e-commerce providers from capturing and viewing your personal information.  In addition, to provide our customers with an increased level of security, online access to track your order(s) requires your  e-mail address and corresponding order number(s) and your account is protected with a password you select.  We strongly recommend that you do not disclose your password to anyone.  CozmicGo will never ask you for your password in any unsolicited communication (including unsolicited correspondence such as letters, phone calls or e-mail messages).  While our third party vendors employ many different security techniques to protect such data from unauthorized access, perfect security does not exist on the Internet, and CozmicGo does not ensure or guarantee the security of any information you transmit to us on the Web site(s) and/or App(s) or the accuracy of any information displayed on the Web site(s) and/or App(s) or in connection with Google's advertising management system, Stripe's shopping cart or payment processing services. 

 

9. What about links to other Web site(s) and/or App(s)s and services?

CozmicGo's Web site(s) and/or App(s) may contain links to other sites beyond CozmicGo's control.  CozmicGo is not responsible for the content or practices of any linked Web site(s) and/or App(s)s, and we provide these links solely for the convenience and information of our visitors.  CozmicGo does not control the privacy policies or practices of these Web site(s) and/or App(s)s.  This Privacy Policy does not cover the collection of 

information by those other companies and/or Web site(s) and/or App(s)s.  Although we encourage third parties to provide their own privacy policies, CozmicGo is not responsible and shall not be liable for their activities, such as how they handle the information they collect online.  You should review those policies before providing any personal information.   

 

10. Updates to our Privacy Policy.  

We may amend this Privacy Policy at any time by posting the amended terms on the Web site(s) and/or App(s).  All amended terms shall automatically be effective after they are posted on the site.   

 

11. Governing Law; Limitation of Damages; Entire Agreement.  

This Privacy Policy is governed by the laws of the State of California.  Venue for any dispute arising under this Privacy Policy shall be in the courts in and for Contra Costa County, California.  By your use of our site, you agree to be bound by the terms and conditions contained in this Privacy Policy.  To the extent you may maintain any claims for liability against CozmicGo arising from a potential violation of this Privacy Policy or to the misuse of your personal information, you agree that your recovery for damages is expressly limited to those provided in California Civil Code Section 1798.84, as may be amended from time to time.   

 

This Privacy Policy together with CozmicGo's policies posted on our Web site(s) and/or App(s) and Terms of Use constitute the entire agreement between you and CozmicGo regarding the use of CozmicGo's Web site(s) and/or App(s) and supersede any and all previous and contemporaneous oral and written agreements between you and CozmicGo regarding your use of the Web site(s) and/or App(s).

Service Agreement

 

This Host Service Agreement ("Agreement") is made as of the date last written below between CozmicGo, company ("Company" or "we"), and the undersigned ("Host" or "you"). 

 

The Company's goal is to bring together Host(s) and members of the public (collectively, "Guests" or "customers" or “participants" ) for purposes of Hosts promoting and providing Guests experiences (activity, event, class, trip, social gathering, etc) via the Company's Web site(s) and/or App(s) and/or software application (collectively, the "Site"). 

 

To be a host you must be at least 18 years of age, and not convicted of any crimes that would put a guest at risk as legally defined in your state and/or country.

 

Our expectations for the Host(s) are contained in this Agreement. We expect you to agree to the following terms upon your sign up for a CozmicGo account.

 

You agree to these Additional Terms for Experience Hosts (“Experience Host Terms”) when you submit a Listing for an Experience, Event or other Host Service.

 

These terms are in addition to the CozmicGo Terms of Service and the CozmicGo Payments Terms of Service, and except as explicitly stated, the CozmicGo Terms of Service and the CozmicGo Payments Terms of Service apply in full to all Experience Hosts, Experience Host Listings, and Experiences, Events, or other Host Services. All capitalized terms not defined here have the meaning given to them in the CozmicGo Terms of Service. Nothing in these Experience Host Terms shall be construed to amend or contradict the CozmicGo Terms of Service unless explicitly stated. If there is a conflict between the CozmicGo  Terms of Service and the Experience Host Terms, these Experience Host Terms control.

 

Additional Terms for Listing Experiences, Events and other Host Services

 

Experiences, Events or other Host Services must at all times meet the quality standards for Experiences. Once published, an Experience, Event or other Host Service may be removed pursuant to the removal provisions below or pursuant to any applicable removal provision in the CozmicGo Terms of Service.

 

When listing an Experience, Event or other Host Service you must, where applicable, fully educate and inform Guests about (i) any risks inherent to the Experience, Event or other Host Service, (ii) any requirements for participation, such as the minimum age, related skills, level of fitness or other requirements, and (iii) anything else they may need to know to safely participate in the Experience, Event or other Host Service (including dress codes, equipment, special certifications or licenses, etc.). You are responsible for keeping your Listing information (including calendar availability) up-to-date at all times. In providing the Services, Host shall comply with all policies, standards and procedures of Company as identified from time to time, provided that Host shall, in Host's reasonable professional discretion, determine the methods and manner of performing the Services, without the direct supervision of Company. Host shall devote Host's utmost knowledge and best skill to the performance of the Services and shall exercise Host's best judgment while interacting with the Guests. Host shall keep and maintain appropriate records relating to all Services rendered by Host during the Period of Engagement. At all times, Host shall exercise his/her best judgment in conducting the Experiences, including, but not limited to, being prepared for emergencies, well-versed in safety for the benefit of the Guests, and/or being prepared to cancel an Experience in the event of inclement weather, unsafe conditions, and/or unforeseen issues.

 

You are solely responsible for setting a price (including any Taxes if applicable, or charges for your Listing. Once a Guest requests a booking of your Listing, you may not request that the Guest pays a higher price than in the booking request.

 

Any terms and conditions included in your Listing, in particular in relation to cancellations, must not conflict with these Terms or the relevant cancellation policy for your Listing.

 

Host are able to communicate regularly with the Guests who have accepted the Host's Experience(s) via the Site's messaging service.  In advance of each Experience , Host are able to greet the Guests, answer questions, and provide the Guests with any additional details that the Guests need to know about the upcoming Experience .   

 

You are responsible for your password to access the Site.  You should keep it safe and ensure no third party can access your account on the Site.  

 

For security reasons, Host should not provide Host's personal information or payment information to any third party outside the Site.  

 

By making your Experience, Event or other Host Service available for a particular date and time on the CozmicGo  Platform (an “Event”), you agree that only people who book through CozmicGo can attend that Event of the Experience, activity or other Host Service. You further agree that you will not allow people to attend any Event of your Experience, Activity or other Host Service available on the CozmicGo Platform unless that person booked through CozmicGo or was added as an additional Guest for a ticket booked through the CozmicGo Platform.

 

If you wish to list an Experience, Event or other Host Service on behalf of a Nonprofit you must comply with the eligibility requirements for hosting a Nonprofit Experience. When listing a Nonprofit Experience you (i) represent and warrant that you are duly authorized to act on behalf of your Nonprofit and (ii) acknowledge and agree that all payouts will be directed to an account owned by your Nonprofit. You and your Nonprofit acknowledge that listing a Nonprofit Experience does not create a commercial fundraising or co-venturer, or charitable trust relationship with CozmicGo  and CozmicGo  is not a professional fundraiser or commercial participator. Nonprofits, and not CozmicGo , are responsible for determining what, if any, portion of their Listing Fee is a charitable contribution and for providing Guests charitable tax receipts for any applicable charitable contributions. You and your Nonprofit are solely responsible for complying with all laws that apply to your organization and your Nonprofit Experience.

 

Hosts alone are responsible for the Experiences, Events, or other Host Services that they submit, list and provide. CozmicGo merely provides the CozmicGo Services and is not itself an operator or provider of tours, activities, travel services, Experiences, Events or other Host Services. CozmicGo does not own, sell, resell, furnish, provide, manage and/or control any such Experiences, Events or other Host Services. CozmicGo ’s responsibilities are limited to making the Listings for Experiences, Events or other Host Services available through the CozmicGo  Platform

 

You are responsible for acquiring all equipment, including supplies, vehicles, venues and other materials (“Equipment”) necessary to host your Experience, Event or other Host Service. You are solely responsible for ensuring that the Equipment used in your Experience, Event or other Host Service is in good working order and conforms to all laws pertaining to safety, equipment, inspection, and operational capability. Except as otherwise required by law, you assume all risk of damage or loss to your Equipment.

 

Additional Experience Host Responsibilities

 

You are responsible for (i) understanding and complying with all laws, rules and regulations that may apply to your Experience, Event or other Host Service(s), (ii) obtaining any required licenses, permits, or registrations prior to providing your Experience, Event or other Host Service(s); and (iii) ensuring that your Listing and/or Hosting of an Experience, Event, or other Host Service(s) will not breach any agreement you may have with any third party.

 

You must provide your Experience, Event or other Host Service in person and may not allow any third party to provide the Experience, Event or other Host Service on your behalf, unless authorized by CozmicGo. You may include a co-host(s) to your experience as long as you notify guest in your posting and you must be present during the entire duration of the experience. Hosts shall be on time for all scheduled Experiences.

 

Severability

 

If any provision or part of a provision in these terms is held to be invalid, void, or unenforceable, such provision (or the part of it that is making it invalid, void or unenforceable) will be struck and not affect the validity of and enforceability of the remaining provisions.

 

Updates to these Experience Host Terms

 

We reserve the right to update, modify or discontinue the Experience Host Terms, at any time. If we modify the Experience Host Terms, we will give you notice and post the modification on the CozmicGo  Site, Application, or Services. By continuing to access or use the Services after the modified Experience Host Terms becomes effective, you are indicating that you agree to be bound by the updated terms. If the modified terms are not acceptable to you, your recourse is to stop using the Services.

 

Survival

 

If you or we terminate the Experience Host Terms, the clauses of these Experience Host Terms that reasonably should survive termination of the Experience Host Terms will remain in effect. When the Experience Host Terms are terminated, you are not entitled to a restoration of your account (if your account is cancelled) or of the Member Content.

 

AGREEMENT 

In consideration of Host's engagement with the Company (which for purposes of this Agreement shall be deemed to include any authorized subsidiaries and/or affiliates of the Company), the receipt of confidential information from the Company while associated with the Company, and other good and valuable consideration, the receipt and sufficiency of which is acknowledged, Host agrees as follows: 

 

Compensation. 

In consideration for the Services and for the discharge of all Host's obligations hereunder, Company shall pay Host the compensation as set forth in the schedule. Host acknowledges that Company has no obligation to pay any compensation or to provide benefits or services of any kind to Host other than as expressly provided in this Agreement. 

 

If you choose to use the CozmicGo Platform as a Host or Co-Host, your relationship with CozmicGo is limited to being an independent, third-party contractor, and not an employee, agent, joint venturer or partner of CozmicGo for any reason, and you act exclusively on your own behalf and for your own benefit, and not on behalf, or for the benefit, of CozmicGo. CozmicGo does not, and shall not be deemed to, direct or control you generally or in your performance under these Terms specifically, including in connection with your provision of the Host Services. You acknowledge that you have complete discretion whether to list Host Services or otherwise engage in other business or employment activities. Nothing contained in this Agreement, nor any aspect of the intended arrangement between the parties shall be deemed to constitute Host or Host's Affiliates as employees of Company, or as establishing a partnership or joint venture relationship with Company, for any reason whatsoever. Neither Host nor Host's Affiliates shall have authority to act on Company's behalf for any purpose. Host and Host's Affiliates are not considered employees of the Company and are not entitled to participate in any pension plans, medical insurance benefits, workers' compensation benefits, unemployment benefits, vacation, sick pay, or similar benefits that Company may provide to its employees. 

 

Taxes. Company shall treat Host as an independent contractor for all state and Federal tax purposes, including specifically for income and employment tax purposes. Therefore, Company shall not withhold state or Federal income taxes, social security taxes, or any other form of payroll deduction which is normally required only for employees, and these shall remain solely the obligations of Host. Host shall hold harmless and indemnify Company from and against, and shall assume full responsibility for, payment of all Federal, state and local taxes or contributions imposed or required under unemployment, social security, and income tax laws, with respect to Host's performance under this Agreement. These obligations shall survive the termination or expiration of Host's provision of Services for Company. 

 

CozmicGo does not collect sales tax for any state or country and puts the responsibility on the hosts per the terms of service. Be aware of the local laws and tax regulations that may affect you and your business. Tax regulations vary widely depending on location, business type, and the money you generate. Taxes can be complicated, please take the time to understand the rules as they apply to your experiences. 

 

Term and Termination. 

This Agreement may be terminated by Company immediately upon written notice in the event of: (a) Host's material breach of any of the provisions of this Agreement; (b) Host's neglect of his/her duties; (c) Host failure to appear for a scheduled Experience ; (d) unprofessional, unethical or fraudulent conduct by Host or Host's Affiliates, or conduct discrediting to Company's reputation or professional standing, which shall be determined by Company in its sole discretion; (e) consistently negative ratings by customers on the Site; (g) Host's failure to comply with any reasonable requests by Company; or (f) Host's account on the Site is "under review" by the Company as a result of any claim(s) filed against the Host by a Guest. 

1.1. For purposes of this Agreement, in the event an Host's account on the Site is "under review" by the Company, Host acknowledges that he/she shall not be permitted to post any new Experience(s) to the Site; provided, however, Host shall be obligated to proceed with previously scheduled Experiences in accordance with the terms posted on the Site. Notwithstanding the foregoing, during the "under review" period, the Company, in its discretion, may (a) suspend Host's account on the Site and cancel all scheduled Experience(s) and/or (b) deactivate the Host's account on the Site. 

1.2. Termination in Other Circumstances. Notwithstanding anything to the contrary contained herein and subject to Section below, this Agreement shall terminate immediately if:

1.3. Circumstances occur that make it impossible or impracticable for Host to continue Host's performance of the Services; 

1.4. Host dies; or 

1.5. Host becomes permanently disabled and Host is materially unable to perform Host's obligations under this Agreement. For purposes of this Agreement, Host's "permanent disability" shall be defined as Host's failure, incapacity or inability to perform the services contemplated by this Agreement for a cumulative total of sixty (60) calendar days (which need not be consecutive) within any period of 365 days, because his/her physical or mental health shall have become impaired to such a degree that it is impossible for Host to perform the material duties and responsibilities required of him/her hereunder. 

1.6. Effect of Termination. Upon deactivation of Host's account on the Site and/or termination or expiration of this Agreement, Company shall not be obligated to pay any further compensation or expense reimbursement to Host, other than compensation accrued to the date of termination.

 

Confidentiality. 

2.1. Definitions. "Proprietary Information" is all information and any idea in whatever form, tangible or intangible, pertaining in any manner to the business of the Company, or any of its affiliates, subsidiaries or its independent contractors, customers, consultants, or business associates, which was produced by any independent contractor or consultant of the Company in the course of its engagement or consulting relationship or otherwise produced or acquired by or on behalf of the Company. All Proprietary Information not generally known outside of the Company's organization, and all Proprietary Information so known only through improper means, shall be deemed "Confidential Information." By example and without limiting the foregoing definition, Proprietary Information and Confidential Information shall include, but not be limited to: 

2.2. Company's travel/experience software application and related services (collectively, the "Product"), models, designs, methods, formulas, compositions, systems, machines, computer programs, techniques, processes, trade secrets, logarithms, software, source code, object code, electronic codes, mask works, inventions, innovations, patents, patent applications, discoveries, improvements, data, know-how, formats, test results, and research projects; 

2.3. information about costs, profits, markets, sales, contracts, lists of customers, manufacturers and distributors, pricing, data, and sources of supply; 

2.4.  business, marketing, and strategic plans; 

2.5.  forecasts, unpublished financial information, budgets, projections, and customer identities, characteristics agreements, security policies, finite state diagrams, product specifications, and design information; 

2.6.  ideas and concepts for work, including plans, projects and projections; and 

2.7.  personnel files and compensation information. 

 

Confidential Information is to be broadly defined, and includes all information that has or could have commercial value or other utility in the business in which the Company is engaged or contemplates engaging, and all information of which the unauthorized disclosure could be detrimental to the interests of the Company, whether or not such information is identified as Confidential Information by the Company. 

 

2.8. Existence of Confidential Information. The Company owns and has developed and compiled, and will develop and compile, certain trade secrets, proprietary techniques and other Confidential Information which have great value to its business. This Confidential Information includes not only information disclosed by the Company to Host, but also information developed or learned by Host during the course of Host's engagement with the Company. The Company does not wish to receive any confidential information from Host and the Company assumes no obligation, either express or implied, with respect to any information disclosed by Host as a result of the discussions between the parties.

2.9. Protection of Confidential Information. Host shall not, directly or indirectly, use, make available, sell, disclose or otherwise communicate to any third party, other than in Host's assigned duties and for the benefit of the Company, any of the Company's Confidential Information, either during or after Host's engagement with the Company. 

2.10. Delivery of Confidential Information. Upon request or when Host's engagement with the Company terminates or expires, Host shall immediately deliver to the Company all copies of any and all materials and writings received from, created for, or belonging to the Company including, but not limited to, those which relate to or contain Confidential Information, drawings, reports, manuals, correspondence, customer lists, computer programs, flash drives, projections, and all other materials in any way related to the Company's business, and all copies, notes and abstracts thereof. 

2.11. Location, Reproduction, Exhibition and Distribution. Host shall maintain at Host's home workstation and/or any other place under Host's control only such Confidential Information as Host may have a current "need to know." Host shall return to the appropriate person or location or otherwise properly dispose of Confidential Information once that need to know no longer exists. Host shall not make copies of or otherwise reproduce, exhibit or distribute Confidential Information unless there is a legitimate business need of the Company for reproduction, exhibition, or distribution. 

2.12. Prior Actions and Knowledge. Host represents and warrants that, from the time of Host's first contact with the Company, Host held in strict confidence all Confidential Information and has not disclosed any Confidential Information, directly or indirectly, to anyone outside the Company, or used, copied, published, or summarized any Confidential Information, except to the extent otherwise permitted by this Agreement. 

2.13. Third-Party Information. Host acknowledges that the Company has received and in the future will receive from third parties certain confidential and proprietary information subject to a duty on the Company's part to maintain the confidentiality of such information and to use it only for certain limited purposes. Host agrees that, during the Period of Engagement and thereafter, Host shall hold all such information in the strictest confidence and not disclose or use it, except as necessary to perform Host's obligations hereunder and as is consistent with the Company's agreement with such third parties. 

2.14. Third Parties. Host represents that Host's engagement with the Company does not and will not breach any agreements with or duties to a former employer or any other third party. Host shall not disclose to the Company or use on its behalf any confidential or proprietary information belonging to others and Host shall not bring onto the premises of the Company any confidential or proprietary information belonging to any such party unless consented to in writing by such party.

 

 

3.1. Representations and Warranties. Host represents and warrants (i) that Host has no obligations, legal or otherwise, inconsistent with the terms of this Agreement or with Host's undertaking a relationship with the Company; (ii) that, to the best of Host's knowledge, the performance of the Services called for by this Agreement do not and will not violate any applicable law, rule or regulation or any proprietary or other right of any third party applicable to Host; (iii) that Host will not use in the performance of Host's responsibilities for the Company any materials or documents of a former engager or employer; (iv) Host has the qualifications and ability to perform the Services in a professional manner, without the advice, control or direct supervision of the Company; (v) Host shall retain control over and exercise good judgment regarding where and what type of Experience to lead, how to perform the Services by conducting the Experience  and how to interact appropriately with Guests while on the Experience ; and (v) that Host has not entered into or will enter into any agreement (whether oral or written) in conflict with this Agreement. Host shall be solely responsible for the reporting and payment of all applicable taxes, including income taxes and estimated taxes, Social Security taxes, and any other applicable withholdings, deductions, and payments related to the income received by Company for its services to Company.

 

4.1. Waiver of Liability, Limitation of Liability, Assumption of Risk & Indemnification.

FOR AND IN CONSIDERATION OF AUTHORIZING Host TO POST AND ADVERTISE ExperienceS ON THE COMPANY'S Web site(s) and/or App(s) AND LEADING THOSE ExperienceS FOR PARTICIPANTS USING THE COMPANY'S Web site(s) and/or App(s), THE Host, FOR HIMSELF/HERSELF, HIS/HER HEIRS, PERSONAL REPRESENTATIVES, AND/OR ASSIGNS, DOES HEREBY RELEASE, DISCHARGE, WAIVE AND COVENANT NOT TO SUE THE COMPANY, ITS OFFICERS, MANAGERS, MEMBERS, EMPLOYEES, AGENTS, AFFILIATES AND RELATED ENTITIES FROM LIABILITY FROM ANY AND ALL CLAIMS INCLUDING THE NEGLIGENCE OF THE COMPANY, ITS OFFICERS, MANAGERS, MEMBERS, EMPLOYEES, AGENTS, AFFILIATES AND RELATED ENTITIES, RESULTING IN PERSONAL INJURY, ACCIDENTS OR ILLNESSES (INCLUDING DEATH), AND/OR PROPERTY LOSS ARISING FROM, BUT NOT LIMITED TO, THE PLANNING AND DEVELOPMENT OF AND/OR PARTICIPATION IN THE Experience . Host ACKNOWLEDGES AND AGREES THAT (A) HE/SHE IS SOLELY RESPONSIBLE FOR IDENTIFYING AND DEVELOPING ALL ASPECTS OF THE Experience , LEADING Guests ON THE Experience , AND ASSESSING THE Guests' RESPECTIVE ABILITIES TO PARTICIPATE IN THE Experience ; AND (B) THE COMPANY SHALL NOT BE RESPONSIBLE FOR ANY ASPECT OF THE Experience , INCLUDING, BUT NOT LIMITED TO, Host'S SELECTED LOCATION, TIMING, WEATHER CONDITIONS, GEAR UTILIZED, THE HEALTH, SAFETY OR WELL-BEING OF PARTICIPANTS ON THE Experience , OR ASSESSING THE Guest'S ABILITY TO PARTICIPATE IN THE Experience .

WE DO NOT GUARANTEE THE ACCURACY OF, AND DISCLAIM ALL LIABILITY FOR ANY ERRORS OR OTHER INACCURACIES RELATING TO SUCH INFORMATION THAT APPEARS ON OUR SITE. THE COMPANY SHALL NOT BE LIABLE FOR THE ACTS, ERRORS, OMISSIONS, REPRESENTATIONS, WARRANTIES, BREACHES OR NEGLIGENCE OF ANY SUCH Hosts OR FOR ANY PERSONAL INJURIES, DEATH, PROPERTY DAMAGE, OR OTHER DAMAGES OR EXPENSES RESULTING THEREFROM. THE COMPANY HAS NO LIABILITY AND SHALL MAKE NO REFUND IN THE EVENT OF ANY DELAY, CANCELLATION, OVERBOOKING, STRIKE, FORCE MAJEURE OR OTHER CAUSES BEYOND ITS CONTROL, AND THE COMPANY SHALL HAVE NO RESPONSIBILITY FOR ANY ADDITIONAL EXPENSE, OMISSIONS, DELAYS, RE-ROUTING OR ACTS OF ANY GOVERNMENT OR AUTHORITY. IN NO EVENT SHALL THE COMPANY BE LIABLE FOR ANY DIRECT, INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES ARISING OUT OF, OR IN ANY WAY CONNECTED WITH, YOUR ACCESS TO, DISPLAY OF OR USE OF THE SITE OR ITS SERVICES OR WITH THE DELAY OR INABILITY TO ACCESS, DISPLAY OR USE THE SITE WHETHER BASED ON A THEORY OF NEGLIGENCE, CONTRACT, TORT, STRICT LIABILITY, OR OTHERWISE, AND EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

 

IF, DESPITE THE LIMITATIONS PROVIDED ABOVE, THE COMPANY IS FOUND LIABLE FOR ANY LOSS OR DAMAGE WHICH ARISES OUT OF OR IN ANY WAY CONNECTED WITH ANY OF THE OCCURRENCES DESCRIBED ABOVE, THEN THE COMPANY'S LIABILITY SHALL IN NO EVENT EXCEED, IN THE AGGREGATE, THE GREATER OF (A) THE FEES YOU RECEIVED FROM THE COMPANY VIA THE SITE IN CONNECTION WITH THE Experience  AT ISSUE, OR (B) ONE HUNDRED DOLLARS ($100.00 USD). THE LIMITATION OF LIABILITY REFLECTS THE ALLOCATION OF RISK BETWEEN THE PARTIES. THE LIMITATIONS SPECIFIED IN THIS SECTION SHALL SURVIVE AND APPLY EVEN IF ANY LIMITED REMEDY SPECIFIED IN THESE TERMS IS FOUND TO HAVE FAILED OF ITS ESSENTIAL PURPOSE. 

 

4.3. Assumption of Risks. You agree that some Experiences, Events, other Host Services, or the Group Payment Service may carry inherent risk, and by participating in such services, you choose to assume those risks voluntarily. You assume full responsibility for the choices you make before, during and after your participation in a Host Service or the Group Payment Service. If you are bringing a minor as an additional guest, you are solely responsible for the supervision of that minor throughout the duration of your Host Service and to the maximum extent permitted by law, you agree to release and hold harmless CozmicGo from all liabilities and claims that arise in any way from any injury, death, loss or harm that occurs to that minor during the Host Service or in any way related to your Host Service.

 

The foregoing disclaimers apply to the maximum extent permitted by law. You may have other statutory rights. However, the duration of statutorily required warranties, if any, shall be limited to the maximum extent permitted by law.

 

Hosts and Guests understands and acknowledges that leading and/or participating in the Experience carries with it the possibility that Host or Guest may be exposed to a variety of hazards and risks, foreseen and unforeseen, which are inherent to the Experience  and cannot be eliminated without altering the intent of the Experience . These inherent risks, include, but are not limited to possible bodily injury, annoyance, harassment, or stalking by other Hosts, Guests, or participants, identity theft, property damage, and death. Host and Guests knows these injuries and/or damages can occur by natural causes or activities of other persons, including other Experience participants, Guests, Hosts or unrelated third parties. Host and Guests have read the previous paragraph, and knows, understands and appreciates these and other risks that are inherent in the Experience . Host and Guests hereby asserts that his/her participation in the Experience  is voluntary and that he/she is not required to do so. IN PARTICIPATING IN THE Experience , Host and Guests VOLUNTARILY AND FREELY ASSUMES ALL RISK OF ACCIDENT, ILLNESS OR DAMAGE TO OR LOSS OF PROPERTY AS IDENTIFIED HEREIN FOR HIMSELF/HERSELF AND THIRD PARTIES PARTICIPATING IN THE Experience (S). The Company shall not be responsible to any person for any of Host's or Guest’s acts, omissions, negligence, or damage to facilities. 

 

4.4. Indemnification and Hold Harmless. To the maximum extent permissible by law, Hosts and Guests hereby waive, discharges claims, and releases from liability the Company, its officers, managers, members, employees, agents, affiliates and related entities from any and all liability on account of, or in any way resulting from any injury or damage resulting from the negligence, or other acts, howsoever caused by any employee, agent or contractor of the Company. Hosts or Guests further agree to indemnify and hold harmless the Company, its officers, managers, members, employees, agents, affiliates and related entities from and against any and all claims, demands, losses, obligations, actions, suits, procedures, costs, expenses, damages, recoveries and deficiencies, injuries, liabilities or losses, including without limitation, interest, penalties and reasonable attorneys' fees and costs, that Company may incur or suffer and that arise, result from or are related to (i) Host's negligence, (ii) Host's leading and/or participation in an Experience and/or any travel to or from the Experience , (iii) Host's willful acts, or any breach or failure of Host to perform any of its representations, warranties and covenants contained in this Agreement, (iv) your use of the Site, (v) your violation of any law or rights of any third party, and (vi) allegation(s) by a third party that the Host's posting on the Site infringes or otherwise violates any copyright, trademark or other proprietary right of a third party. Host shall reimburse the Company for any such expenses incurred. These obligations shall survive the termination or expiration of Host's provision of Services to Company. 

 

You acknowledge and agree that, to the maximum extent permitted by law, the entire risk arising out of your access to and use of the CozmicGo Platform and Collective Content, your publishing or booking of any Listing via the CozmicGo Platform, participation in any Experience or Event or use of any other Host Service, participation in the Group Payment Service, or any other interaction you have with other Members whether in person or online remains with you. Neither CozmicGo nor any other party involved in creating, producing, or delivering the CozmicGo Platform or Collective Content will be liable for any incidental, special, exemplary or consequential damages, including lost profits, loss of data or loss of goodwill, service interruption, computer damage or system failure or the cost of substitute products or services, or for any damages for personal or bodily injury or emotional distress arising out of or in connection with (i) these Terms, (ii) from the use of or inability to use the CozmicGo Platform or Collective Content, (iii) from any communications, interactions or meetings with other Members or other persons with whom you communicate, interact or meet with as a result of your use of the CozmicGo Platform, or (iv) from your publishing or booking of a Listing, including the provision or use of a Listing’s Host Services, whether based on warranty, contract, tort (including negligence), product liability or any other legal theory, and whether or not CozmicGo has been informed of the possibility of such damage, even if a limited remedy set forth herein is found to have failed of its essential purpose.

 

 

4.5. Severability. Host further expressly agrees that the foregoing waiver, limitation of liability, assumption of risks and indemnification agreement is intended to be as broad and inclusive as is permitted by the law of the State of California and that if any portion thereof is held invalid or legally unenforceable for any reason, it is agreed that the balance shall, notwithstanding, continue in full legal force and effect.

 

5. Termination Obligations. 

 

5.2. Company Records. Upon the termination of Host's relationship with the Company or promptly upon the Company's request, Host shall surrender to the Company all equipment, tangible Proprietary Information, documents, books, notebooks, records, reports, notes, memoranda, drawings, sketches, models, maps, contracts, lists, computer disks (and other computer-generated files and data), any other data and records of any kind, and copies thereof (collectively, "Company Records"), created on any medium and furnished to, obtained by, or prepared by Host in the course of or incident to Host's engagement, that are in Host's possession or under Host's control. 

 

5.3. Survival Period. Host's representations, warranties, and obligations contained in this Agreement shall survive the termination of the Period of Engagement. 

 

5.4. Future Cooperation. Following any termination of this Agreement or expiration of the Period of Engagement, Host will fully cooperate with the Company in all matters relating to Host's continuing obligations under this Agreement. 

 

6. Privacy Policy. Host consents to the Company's processing and sharing of Host's personal information that Host has provided to the Company in accordance with the terms of our Privacy Policy and for the purposes of allowing customers to reserve Experiences and payment of Host for completed Experience(s). Host represents that Host has read and agrees to the terms of our Privacy Policy, which can be found on our Site. 

 

7.1. Miscellaneous Provisions. The following miscellaneous provisions shall apply to this Agreement: 

7.2. Entire Agreement. Together with the Community Guidelines (defined on attached Schedule 1), the Company's Terms of Use and Privacy Policy which are posted on the Site, this Agreement sets forth the parties' mutual rights and obligations with respect to proprietary information. It is intended to be the final, complete, and exclusive statement of the terms of the parties' agreements regarding these subjects. This Agreement supersedes all other prior and contemporaneous agreements and statements on these subjects, and it may not be contradicted by evidence of any prior or contemporaneous statements or agreements. To the extent that the practices, policies, or procedures of the Company, now or in the future, and are inconsistent with the terms of this Agreement, the provisions of this Agreement shall control unless changed in writing by the Company. 

7.3. Binding Effect. This Agreement shall be binding upon Host, Host's heirs, executors, assigns and administrators, and is for the benefit of the Company and its successors and assigns. 

7.4. Governing Law; Venue. It is specifically stipulated and agreed that this Agreement shall be interpreted and construed according to the laws of the State of California without regard to its conflicts of laws principles. Venue for any dispute arising under this Agreement shall be in the courts in and for Contra Costa County, California. 

7.5. Severability. If any term, provision, covenant or condition of this Agreement, or the application thereof to any person, place or circumstance, shall be held to be invalid, unenforceable or void, the remainder of this Agreement and such term, provision, covenant or condition as applied to other persons, places and circumstances shall remain in full force and effect. 

7.6. Construction. This Agreement shall be construed as a whole, according to its fair meaning, and not in favor of or against any party. By way of example and not limitation, this Agreement shall not be construed against the party responsible for any language in this Agreement. 

7.7. Assignment. This Agreement may not be assigned by Host without the Company's prior written consent, which may be withheld or conditioned in Company's discretion. The Company may freely assign this Agreement. 

7.8. Engagement at Will. This Agreement is not an employment agreement. Host understands that the Company or Host may terminate Host's association or engagement with the Company at any time, with or without cause.

7.9. Injunctive Relief. Host acknowledges that Host's failure to carry out any obligation under this Agreement, or a breach by Host of any provision herein, will constitute immediate and irreparable damage to the Company, which cannot be fully and adequately compensated in money damages and which will warrant preliminary and other injunctive relief, an order for specific performance, and other equitable relief. Host further agrees that no bond or other security shall be required in obtaining such equitable relief and Host hereby consents to the issuance of such injunction and to the ordering of specific performance. Host also understands that other action may be taken and remedies enforced against Host by the Company.

7.10. Arbitration. Except for any claim seeking the exercise of the injunctive or equitable powers of a court of competent jurisdiction, any action to enforce or interpret this Agreement, or to resolve disputes with respect to this Agreement, shall be settled by arbitration in accordance with California Code of Civil Procedure Sections 1280   through 1294.2 and any successor provisions thereto. The provisions of California Code of Civil Procedure Section 1283.05 regarding the right to take depositions and obtain discovery shall apply to the arbitration. Arbitration shall be the exclusive dispute resolution process. Any party may commence arbitration by sending a written demand for arbitration to the other parties. Such demand shall set forth the nature of the matter to be resolved by arbitration. The place of arbitration shall be in Contra Costa County, California. The substantive law of the State of California shall be applied by the arbitrator to the resolution of the dispute. The parties shall share equally all initial costs of arbitration. The prevailing party shall be entitled to reimbursement of attorneys' fees, costs, and expenses incurred in connection with the arbitration. All decisions of the arbitrator shall be final, binding, and conclusive on all parties. Judgment may be entered upon any such decision in accordance with applicable law in any court having jurisdiction thereof. The arbitrator (if permitted under applicable law) or such court may issue a writ of execution to enforce the arbitrator's decision. 

 

Exceptions to Arbitration Agreement. You and CozmicGo each agree that the following claims are exceptions to the Arbitration Agreement and will be brought in a judicial proceeding in a court of competent jurisdiction: (i) Any claim related to actual or threatened infringement, misappropriation or violation of a party’s copyrights, trademarks, trade secrets, patents, or other intellectual property rights; (ii) Any claim seeking emergency injunctive relief based on exigent circumstances (e.g., imminent danger or commission of a crime, hacking, cyber-attack).

 

No Class Actions or Representative Proceedings. You and CozmicGo acknowledge and agree that, to the fullest extent permitted by law, we are each waiving the right to participate as a plaintiff or class member in any purported class action lawsuit, class-wide arbitration, private attorney general action, or any other representative proceeding as to all Disputes. Further, unless you and CozmicGo both otherwise agree in writing, the arbitrator may not consolidate more than one party’s claims and may not otherwise preside over any form of any class or representative proceeding. If the “class action lawsuit” waiver or the “class-wide arbitration” waiver in this Section is held unenforceable with respect to any Dispute, then the entirety of the Arbitration Agreement will be deemed void with respect to such Dispute and the Dispute must proceed in court. If the “private attorney general action” waiver or the “representative proceeding” waiver in this Section is held unenforceable with respect to any Dispute, those waivers may be severed from this Arbitration Agreement and you and CozmicGo agree that any private attorney general claims and representative claims in the Dispute will be severed and stayed, pending the resolution of any arbitrable claims in the Dispute in individual arbitration

 

Jury Trial Waiver. You and CozmicGo acknowledge and agree that we are each waiving the right to a trial by jury as to all arbitrable Disputes

 

Unless specified otherwise, any notices or other communications to Members permitted or required under this Agreement, will be provided electronically and given by CozmicGo via email, CozmicGo Platform notification, or messaging service (including SMS and WeChat).

 

7.11. Attorneys' Fees. If any legal proceeding, arbitration or other action is brought or threatened for the enforcement or interpretation of this Agreement, or because of an alleged dispute, breach, default or misrepresentation in connection with any of the provisions of this Agreement, and the prevailing party in any such action(s) should incur any legal fees, including, but not limited to, attorneys' fees, paralegal fees, expert witness fees and other similar costs, the successful or prevailing party or parties to any such dispute or action shall be entitled to recover their reasonable attorneys' fees and additional legal costs incurred, together with any other relief to which they may otherwise be entitled, as determined by an arbitrator, judge at trial, or upon appeal or petition. 

Attorneys' fees and legal costs incurred by the successful or prevailing party in enforcing any judgment or arbitration award shall also be recoverable as a separate item. This provision for post-judgment attorneys' fees and legal costs is intended to be severable from the remaining provisions of this Agreement, shall survive any judgment or arbitration award, and shall not be merged into any judgment or arbitration award. 

7.12. Rights Cumulative. The rights and remedies provided by this Agreement are cumulative, and the exercise of any right or remedy by either the Company or Host (or by that party's successor(s) or authorized assigns), whether pursuant hereto, to any other agreement, or to law, shall not preclude or waive that party's right to exercise any or all other rights and remedies. This Agreement will inure to the benefit of the Company and its successors and assigns. 

7.13. Non-Waiver. The failure of either the Company or Host, whether purposeful or otherwise, to exercise in any Event any right, power or privilege under this Agreement or under law shall not constitute a waiver of any other right, power or privilege, nor of the same right, power or privilege in any other Event. Any waiver by the Company or by Host must be in writing and signed by Host and a manager of the Company.

7.14. Notices. Any notice, request, consent or approval required or permitted to be given under this Agreement or pursuant to law shall be sufficient if it is in writing, and if and 7.15. Date of Effectiveness. This Agreement shall be deemed effective as of the commencement of Host's engagement with the Company. 

7.16. Counterparts. This Agreement and any amendment hereto may be executed in one or more counterparts and delivered by facsimile, email or other means of electronic transmission, each of which shall constitute one and the same instrument. A copy of this Agreement that is executed by a party and transmitted by that party to any other party by facsimile, email and other electronic means shall be binding on each signatory thereto to the same extent as a copy of this Agreement containing the signatory's original signature. 

7.17. Headings. All headings in this Agreement are inserted only for convenience and ease of reference, and are not to be considered in the construction or interpretation of any provision of this Agreement.

7.18. Authority. Each individual executing this Agreement on behalf of a party hereto, by his or her signature, represents that he or she maintains full authority on behalf of the applicable party to execute this Agreement, and thereby bind the applicable party to all covenants, duties and obligations contained herein. 

7.19. Exhibits. All exhibits and schedules to this Agreement as referenced in any portion hereof are hereby incorporated by this reference, as though fully set forth in the body of this Agreement. 

7.20. Time. Time is agreed to be of the essence with respect to this Agreement. 

7.21. Additional Instruments; Agreement to Perform Necessary Acts. The parties shall execute such other instruments and documents as are or may become necessary or convenient to carry out the intent and purposes of this Agreement. Host agrees to perform any further acts and execute and deliver any documents that may be reasonably necessary to carry out the provisions of this Agreement. 

7.22. Force Majeure. Neither party shall be liable to the other for failure to perform any of the services, duties or obligations (other than for delay in the payment of money due and payable hereunder) required of such party herein in the event of acts of God, war, acts of war, terrorism, revolution, civil commotion, riots, acts of public enemies, blockage or embargo, delays of carriers, car shortage, fire, explosion, breakdown of equipment, strike, lockout, labor dispute, casualty or accident, earthquake, epidemic, flood, cyclone, tornado, hurricane or other windstorm, delays of vendors or other contingencies interfering with production or with customary or usual means of transportation, or by reason of any law, order, proclamation, regulation, ordinance, demand, requisition or requirement or any other act of any governmental authority, local, state or federal, including court orders, judgments or decrees, or any other cause whatsoever, whether similar or dissimilar to those above affected over which such party has no control. The party affected by an event of the sort enumerated in or contemplated by this Section may suspend performance of this Assignment for a period of time equal to the duration of the event excusing such performance. 

7.23. Independent Host Acknowledgment. Host acknowledges that Host has had the opportunity to consult legal counsel in regard to this Agreement, that Host has read and understand this Agreement, that Host is fully aware of its legal effect, and that Host has entered into it freely and voluntarily, based on Host's own judgment and not on any representations or promises other than those contained in this Agreement.

 

Your Acceptance of these Terms and Conditions.

 

By booking your Experience, participating in an experience or event with us or using the Site, you are agreeing to be bound by the terms of this Agreement of this Agreement above and any additional terms and conditions of any Host that are applicable to your booking, Experience  arrangements or use of any content from the Site. You agree on behalf of yourself and those you represent to comply with all such terms and conditions, including the payment of all amounts when due. You agree that any violation of any such terms and conditions may result in (a) the cancellation of your booking reservation, (b) your forfeiture of any monies paid for your booking reservation, (c) you being denied access to the applicable Experience , and (d) our right to debit your account for any reasonable costs we incur as a result of such violation.

 

Schedule 1 

 

Services – Scope of Work: 

Host shall be solely responsible for organizing, preparing for, and leading Guests on various Experiences, which will be posted on the Company's Site. The Company has no obligation to promote any Experience appearing on the Site.

 

In connection with performance of the Services, Company requires that the following items will be completed:   

 

At all times, Host shall abide by the Community Guidelines (the "Community Guidelines") prepared by the Company, as amended from time to time.  The terms and conditions contained in the Community Guidelines are hereby incorporated by reference into this Agreement.  In the event of any conflict between this Agreement and the Community Guidelines, the terms of this Agreement shall govern.   

 

Pictures, animations or videos (collectively, "Images") used in your Listings must accurately reflect the quality and condition of your Host Services.

 

When your experience is booked by a Guest, you “Host” are entering into a legally binding agreement with the Guest and are required to provide your Host Service(s) to the Guest as described in your Listing when the booking request is made. You also agree to pay the applicable Host Fee and any applicable Taxes.

 

CozmicGo recommends that Hosts obtain appropriate insurance for their Host Services. Please review any respective insurance policy carefully, and in particular make sure that you are familiar with and understand any exclusions to, and any deductibles that may apply for, such insurance policy, including, but not limited to, whether or not your insurance policy will cover the actions or inactions of Guests (and the individuals the Guest has booked for, if applicable) while participating in your Experience, Event or other Host Service

 

CozmicGo may charge fees to Hosts ("Host Fees") and/or Guests ("Guest Fees") (collectively, "Service Fees") in consideration for the use of the CozmicGo Platform. CozmicGo reserves the right to change the Service Fees at any time. Such fee changes will not affect any bookings made prior to the effective date of the fee change.

 

The Host shall set the price for each Experience.  The Company shall retain a service fee from each completed Experience. The service fee collected from CozmicGo is 10%. In addition, Our third party payment processor Stripe inc retains a payment processing fee of 2.9% of the total booked charges plus 30 cents per transaction. Please refer to Stripe inc for their merchant service fees as they may change. 

 

The Company shall retain a $1 service fee from each ticket purchased from the guest. This $1 guest service fee will be charged to the guest in addition to the ticket price set by the host. CozmicGo receives 100% of the guest service fee.  

 

CozmicGo reserves the right to change the Service Fees at any time. Such fee changes will not affect any bookings made prior to the effective date of the fee change. You are responsible for paying any Service Fees that you owe to CozmicGo. The applicable Service Fees (including any applicable Taxes) are collected by CozmicGo . CozmicGo  will deduct any Host Fees from the Listing Fee before remitting the payout to the Host. Any Guest Fees are included in the Total Fees collected by CozmicGo . Except as otherwise provided on the CozmicGo Platform, Service Fees are non-refundable.

 

Guests must register for Experiences via the Site.  No Experience  shall be conducted without the prior registration of each Guest.  Drop-in Guests must register and pay for an Experience  via the Site before being permitted to participate.  Host shall not accept payment for an Experience outside the Site. 

 

Terms specific for Guests

Terms applicable to all bookings

 

Subject to meeting any requirements (such as completing any verification processes) set by CozmicGo and/or the Host, you can book a Listing available on the CozmicGo Platform by following the respective booking process. All applicable fees, including the Listing Fee, Guest Fee and any applicable Taxes (collectively, “Total Fees”) will be presented to you prior to booking a Listing. You agree to pay the Total Fees for any booking requested in connection with your CozmicGo Account.

 

Upon receipt of a booking confirmation from CozmicGo, a legally binding agreement is formed between you and your Host, subject to any additional terms and conditions of the Host that apply, including in particular the applicable cancellation policy and any rules and restrictions specified in the Listing. CozmicGo  will collect the Total Fees at the time of the booking request.

 

If you book a Host Service on behalf of additional guests, you are required to ensure that every additional guest meets any requirements set by the Host, and is made aware of and agrees to these Terms and any terms and conditions, rules and restrictions set by the Host. If you are booking for an additional guest who is a minor, you represent and warrant that you are legally authorized to act on behalf of the minor. Minors may only participate in an Experience, Event or other Host Service if accompanied by an adult who is responsible for them.

 

Financial Terms for Guests

You authorize CozmicGo  to charge your Payment Method the Total Fees for any booking requested in connection with your CozmicGo Account. CozmicGo  will collect the Total Fees in the manner agreed between you and CozmicGo  via the CozmicGo Platform. CozmicGo will generally collect the Total Fees directly after the event is booked. 

 

You authorize CozmicGo  to perform the Payment Method verifications and to charge your Payment Method for any bookings made in connection with your CozmicGo Account. You hereby authorize CozmicGo  to collect any amounts due,by charging the Payment Method provided at checkout, either directly by CozmicGo  or indirectly, via a

7.19. Exhibits. All exhibits and schedules to this Agreement as referenced in any portion hereof are hereby incorporated by this reference, as though fully set forth in the body of this Agreement. 

7.20. Time. Time is agreed to be of the essence with respect to this Agreement. 

7.21. Additional Instruments; Agreement to Perform Necessary Acts. The parties shall execute such other instruments and documents as are or may become necessary or convenient to carry out the intent and purposes of this Agreement. Host agrees to perform any further acts and execute and deliver any documents that may be reasonably necessary to carry out the provisions of this Agreement. 

7.22. Force Majeure. Neither party shall be liable to the other for failure to perform any of the services, duties or obligations (other than for delay in the payment of money due and payable hereunder) required of such party herein in the event of acts of God, war, acts of war, terrorism, revolution, civil commotion, riots, acts of public enemies, blockage or embargo, delays of carriers, car shortage, fire, explosion, breakdown of equipment, strike, lockout, labor dispute, casualty or accident, earthquake, epidemic, flood, cyclone, tornado, hurricane or other windstorm, delays of vendors or other contingencies interfering with production or with customary or usual means of transportation, or by reason of any law, order, proclamation, regulation, ordinance, demand, requisition or requirement or any other act of any governmental authority, local, state or federal, including court orders, judgments or decrees, or any other cause whatsoever, whether similar or dissimilar to those above affected over which such party has no control. The party affected by an event of the sort enumerated in or contemplated by this Section may suspend performance of this Assignment for a period of time equal to the duration of the event excusing such performance. 

7.23. Independent Host Acknowledgment. Host acknowledges that Host has had the opportunity to consult legal counsel in regard to this Agreement, that Host has read and understand this Agreement, that Host is fully aware of its legal effect, and that Host has entered into it freely and voluntarily, based on Host's own judgment and not on any representations or promises other than those contained in this Agreement.

 

Your Acceptance of these Terms and Conditions.

 

By booking your Experience, participating in an experience or event with us or using the Site, you are agreeing to be bound by the terms of this Agreement of this Agreement above and any additional terms and conditions of any Host that are applicable to your booking, Experience  arrangements or use of any content from the Site. You agree on behalf of yourself and those you represent to comply with all such terms and conditions, including the payment of all amounts when due. You agree that any violation of any such terms and conditions may result in (a) the cancellation of your booking reservation, (b) your forfeiture of any monies paid for your booking reservation, (c) you being denied access to the applicable Experience , and (d) our right to debit your account for any reasonable costs we incur as a result of such violation.

 

Schedule 1 

 

Services – Scope of Work: 

Host shall be solely responsible for organizing, preparing for, and leading Guests on various Experiences, which will be posted on the Company's Site. The Company has no obligation to promote any Experience appearing on the Site.

 

In connection with performance of the Services, Company requires that the following items will be completed:   

 

At all times, Host shall abide by the Community Guidelines (the "Community Guidelines") prepared by the Company, as amended from time to time.  The terms and conditions contained in the Community Guidelines are hereby incorporated by reference into this Agreement.  In the event of any conflict between this Agreement and the Community Guidelines, the terms of this Agreement shall govern.   

 

Pictures, animations or videos (collectively, "Images") used in your Listings must accurately reflect the quality and condition of your Host Services.

 

When your experience is booked by a Guest, you “Host” are entering into a legally binding agreement with the Guest and are required to provide your Host Service(s) to the Guest as described in your Listing when the booking request is made. You also agree to pay the applicable Host Fee and any applicable Taxes.

 

CozmicGo recommends that Hosts obtain appropriate insurance for their Host Services. Please review any respective insurance policy carefully, and in particular make sure that you are familiar with and understand any exclusions to, and any deductibles that may apply for, such insurance policy, including, but not limited to, whether or not your insurance policy will cover the actions or inactions of Guests (and the individuals the Guest has booked for, if applicable) while participating in your Experience, Event or other Host Service

 

CozmicGo may charge fees to Hosts ("Host Fees") and/or Guests ("Guest Fees") (collectively, "Service Fees") in consideration for the use of the CozmicGo Platform. CozmicGo reserves the right to change the Service Fees at any time. Such fee changes will not affect any bookings made prior to the effective date of the fee change.

CozmicGo  will collect the Total Fees in the manner agreed between you and CozmicGo  via the CozmicGo Platform. CozmicGo will generally collect the Total Fees directly after the event is booked. 

 

You authorize CozmicGo  to perform the Payment Method verifications and to charge your Payment Method for any bookings made in connection with your CozmicGo Account. You hereby authorize CozmicGo  to collect any amounts due,by charging the Payment Method provided at checkout, either directly by CozmicGo  or indirectly, via a third-party online payment processor, and/or by one or more of the payment methods available on the CozmicGo Platform (such as gift cards).

 

 

Each Providing Member agrees that payment made by a Purchasing Member through CozmicGo , shall be considered the same as a payment made directly to the Providing Member, and the Providing Member will provide the purchased services to the Purchasing Member in the agreed-upon manner as if the Providing Member has received the payment directly from the Purchasing Member. Each Providing Member agrees that CozmicGo  may refund the Purchasing Member in accordance with the CozmicGo Terms. Each Providing Member understands that CozmicGo ’ obligation to pay the Providing Member is subject to and conditional upon successful receipt of the associated payments from Purchasing Members. CozmicGo  guarantees payments to Providing Members only for such amounts that have been successfully received by CozmicGo  from Purchasing Members in accordance with these Payments Terms. In accepting appointment as the limited payment collection agent of the Providing Member, CozmicGo  assumes no liability for any acts or omissions of the Providing Member.

 

Each Purchasing Member acknowledges and agrees that, notwithstanding the fact that CozmicGo  is not a party to the agreement between you and the Providing Member, CozmicGo  acts as the Providing Member’s payment collection agent for the limited purpose of accepting payments from you on behalf of the Providing Member. Upon your payment of the funds to CozmicGo , your payment obligation to the Providing Member for the agreed upon amount is extinguished, and CozmicGo  is responsible for remitting the funds to the Providing Member in the manner described in these Payments Terms, which constitute CozmicGo ’ agreement with the Purchasing Member. In the event that CozmicGo  does not remit any such amounts, the Providing Member will have recourse only against CozmicGo  and not the Purchasing Member directly.

 

Compensation, Payment Terms. 

CozmicGo  may improve, enhance and modify the Payment Services and introduce new Payment Services from time to time. CozmicGo  will provide notice to Members of any changes to the Payment Services, unless such changes do not materially increase the Members’ contractual obligations or decrease the Members’ rights under these Payments Terms.

 

The Payment Services may contain links to third-party websites or resources (“Third-Party Services”). Such Third-Party Services are subject to different terms and conditions and privacy practices and Members should review them independently. CozmicGo  is not responsible or liable for the availability or accuracy of such Third-Party Services, or the content, products, or services available from such Third-Party Services. Links to such Third-Party Services are not an endorsement by CozmicGo  of such Third-Party Services.

 

Modification of these Payments Terms

CozmicGo  reserves the right to modify these Payments Terms at any time in accordance with this provision. If we make changes to these Payments Terms, we will post the revised Payments Terms on the CozmicGo Platform and update the “Last Updated” date at the top of these Payments Terms. If you disagree with the revised Payments Terms, you may terminate this Agreement with immediate effect. We will inform you about your right of refusal and your right to terminate this Agreement in the notification email. If you do not terminate your Agreement before the date the revised Terms become effective, your continued use of the Payment Services will constitute acceptance of the revised Payments Terms.

 

You must be at least 18 years old and able to enter into legally binding contracts to use the Payment Services. By using the Payment Services you represent and warrant that you are 18 or older.

 

We may make inquiries we consider necessary to help verify or check your identity or prevent fraud. Towards this end, you authorize CozmicGo  to screen you against third party databases or other sources and request reports from service providers. CozmicGo  reserves the right to close, suspend, or limit access to the Payment Services in the event we are unable to obtain or verify any of this information.

 

When you add a Payment Method or Payout Method to your CozmicGo Account, you will be asked to provide customary billing information such as name, billing address, and financial instrument information either to CozmicGo  or its third-party payment processor(s). You must provide accurate, current, and complete information when adding a Payment Method or Payout Method, and it is your obligation to keep your Payment Method and Payout Method up-to-date at all times. The information required for Payout Methods will depend on the particular Payout Method and may include:Your residential address, name on the account, account type, routing number, account number, email address, payout currency, identification number and account information associated with a particular payment processor.

 

Please note that Payment Methods and Payout Methods may involve the use of third-party payment service providers. These service providers may charge you additional fees when processing payments and Payouts in connection with the Payment Services (including deducting charges from the Payout amount), and CozmicGo  is not responsible for any such fees and disclaims all liability in this regard. Your Payment Method or Payout Method may also be subject to additional terms and conditions imposed by the applicable third-party payment service provider; please review these terms and conditions before using your Payment Method or Payout Method.

 

You are solely responsible for the accuracy and completeness of your Payment Method and Payout Method information. CozmicGo  is not responsible for any loss suffered by you as a result of incorrect Payment Method or Payout Method information provided by you.

If your Contracting Entity's location is different than the country of your Payment Method or your selected currency is different than your Payment Method's billing currency, your payment may be processed outside your country of residence. For example, if you make a booking using a U.S.-issued card, but select Euro as your currency, your payment may be processed outside the U.S. Banks and credit card companies may impose international transaction fees and foreign exchange fees on such international transactions. In addition, if you select to pay with a currency that is different than your Payment Method's billing currency, your bank or credit card company may convert the payment amount to your billing currency associated with you Payment Method, based on an exchange rate and fee amount determined solely by your bank. As a result, the amount listed on your card statement may be a different amount than that shown on checkout. Please contact your bank or credit card company if you have any questions about these fees or the applicable exchange rate.

 

 

The service fee collected from CozmicGo is 10%. The Company uses Stripe, a division of Stripe, Inc. ("Stripe"), for payment processing services on the Site.  To receive payment, Host shall be required to register with Stripe's payment processing service and to maintain Host's current bank account or credit card information with the Stripe.  By using the Stripe payment processing services, Host acknowledges and agrees to the terms and conditions contained in Stripe's Payment Services Agreement, as may be amended from time to time, available at https://stripe.com/legal-agreement and incorporated by this reference. The Company or Stripe annually shall file Form 1099-MISC, Miscellaneous Income to report compensation paid to Host to the IRS.  Stripe inc. is PCI compliant.

 

Generally speaking, CozmicGo  will collect the Total Fees from a Guest at the time the Guest’s booking, or at any other time mutually agreed between the Guest and CozmicGo .

 

In order to receive a Payout you must have a valid Payout Method linked to your CozmicGo Account. CozmicGo  will generally initiate Payouts to your selected Payout Method: 48 - 72 hours of the Host’s scheduled event end time unless a guest refund or dispute is enacted.

 

Your first payout will be received 7-14 days after your first successful payment. The first payout usually takes a little longer in order to establish the Stripe account. Processing subsequent payouts then happens according to your account’s payout schedule below. 

 

Australia & United States: Within 48-72 business day hours from the end of your hosted experience. The earned amount will automatically deposit from your Stripe account into the bank account you provided. 

New Zealand: 4 business days 

All other countries: 7 calendar days

 

 

The time it takes to receive Payouts once released by CozmicGo  may depend upon the Payout Method you select and the Payout Method provider’s processing schedule. CozmicGo  may delay or cancel any Payout for purposes of preventing unlawful activity or fraud, risk assessment, security, or investigation.

 

Your Payout for a booking will be the Listing Fee less applicable Host Fees and Taxes.

General Provisions

 

This Experiences Guest Refund Policy is not intended to constitute an offer to insure, does not constitute insurance or an insurance contract, does not take the place of insurance, and the Guest has not paid any premium in respect of the Experiences Guest Refund Policy. The benefits provided under this Experiences Guest Refund Policy are not assignable or transferable by a Guest.

 

All determinations of Cozmicgo with respect to the Experiences Guest Refund Policy shall be at Cozmicgo’s discretion, and final and binding on the Guests and Hosts.

 

Cozmicgo reserves the right to modify or terminate this Experiences Guest Refund Policy, at any time, in its sole discretion.

 

Host shall promptly respond to any Guest's refund request via the Site's messaging service within 4 days of time sent. The Refund Period shall be the only time during which a Guest may request a refund from an Host.  Following the expiration of the Refund Period, a Guest may submit a claim for a refund (a "Claim") in writing to the Company.   

 

Fees

 

CozmicGo  may charge fees for use of certain Payment Services and any applicable fees will be disclosed to Members via the Cozmicgo Platform.

 

Payment Authorizations

 

You authorize CozmicGo  to collect from you amounts due pursuant to these Payment Terms or the Cozmicgo Terms. Specifically, you authorize CozmicGo  to collect from you:

 

Any amount due to Cozmicgo (e.g., as a result of your bookings, Booking Modifications, cancellations, or other actions as a Guest, Co-Payer, Host or user of the Cozmicgo Platform), including reimbursement for costs prepaid by Cozmicgo on your behalf, by charging any Payment Method on file in your Cozmicgo Account or by withholding such amounts from your future Payouts. Any funds collected by CozmicGo will setoff the amount owed by you to Cozmicgo and extinguish your obligation to Cozmicgo.

Any amount due to a Providing Member from a Purchasing Member which Cozmicgo collects as the Providing Member’s payment collection agent.

Taxes, where applicable and as set out in the Cozmicgo Terms.

Any amount you pay through the Resolution Center, claims, or disputes in connection with your Cozmicgo Account. CozmicGo  may do so by charging the Payment Method associated with the relevant booking, or any other Payment Method on file in your Cozmicgo Account or by withholding the amount from your future Payouts.

Any Service Fees or cancellation fees imposed pursuant to the Cozmicgo Terms (e.g., if, as a Host, you cancel a confirmed booking). CozmicGo  will be entitled to recover the amount of any such fees from you, including by subtracting such refund amount out from any future Payouts due to you.

Fees improperly paid to you as a Host. If, as a Host, your Guest cancels a confirmed booking or Cozmicgo decides that it is necessary to cancel a confirmed booking, and Cozmicgo issues a refund to the Guest in accordance with the Cozmicgo Terms, Guest Refund Policy, Experiences Guest Refund Policy, Extenuating Circumstances Policy, or other applicable cancellation policy, you agree that in the event you have already been paid, CozmicGo  will be entitled to recover the amount of any such refund from you, including by subtracting such refund amount out from any future Payouts due to you.

Fees, costs and/or expenses associated with a Damage Claim, including any Security Deposit, as set out in the Cozmicgo Terms. If CozmicGo  is unable to collect from your Payment Method used to make the booking, you agree that CozmicGo  may charge any other Payment Method on file in your Cozmicgo Account at the time of the Damage Claim

CozmicGo  also reserves the right to otherwise collect payment from you and pursue any remedies available to CozmicGo  in this regard in situations in which you are responsible for a Damage Claim pursuant to the Cozmicgo Terms, including, but not limited to, in relation to any payment requests made by Hosts under the Cozmicgo Host Guarantee.

In addition to any amount due as outlined above, if there are delinquent amounts or chargebacks associated with your Payment Method, you may be charged fees that are incidental to our collection of these delinquent amounts and chargebacks. Such fees or charges may include collection fees, convenience fees or other third-party charges.

 

Refunds

Any refunds or credits due to a Member pursuant to the Cozmicgo Terms, Extenuating Circumstances Policy, Guest Refund Policy, and Experiences Guest Refund Policy will be initiated and remitted by CozmicGo  in accordance with these Payments Terms.

CozmicGo will process refunds immediately, however, the timing to receive any refund will vary based on the Payment Method and any applicable payment system (e.g., Visa, Mastercard, etc.) rules.

 

Payment Processing Errors

We will take steps to rectify any payment processing errors that we become aware of. These steps may include crediting or debiting (as appropriate) the same Payout Method or Payment Method used for the original Payout to or payment by you, so that you end up receiving or paying the correct amount. This may be performed by CozmicGo  or a third party such as your financial institution.

 

Collections

If CozmicGo  is unable to collect any amounts you owe under these Payments Terms, CozmicGo  may engage in collection efforts to recover such amounts from you

 

liability 

you acknowledge and agree that, to the maximum extent permitted by law, the entire risk arising out of your access to and use of the Payment Services remains with you. If you permit or authorize another person to use your Cozmicgo Account in any way, you are responsible for the actions taken by that person. Neither CozmicGo nor any other party involved in creating, producing, or delivering the Payment Services will be liable for any incidental, special, exemplary, or consequential damages, including lost profits, loss of data or loss of goodwill, service interruption, computer damage or system failure or the cost of substitute products or services, or for any damages for personal or bodily injury or emotional distress arising out of or in connection with (i) these Payments Terms, (ii) from the use of or inability to use the Payment Services, or (iii) from any communications, interactions, or meetings with other Members or other persons with whom you communicate, interact, transact, or meet with as a result of your use of the Payment Services, whether based on warranty, contract, tort (including negligence), product liability, or any other legal theory, and whether or not CozmicGo  has been informed of the possibility of such damage, even if a limited remedy set forth herein is found to have failed of its essential purpose. Except for our obligations to pay amounts to applicable Providing Members pursuant to these Payments Terms or an approved payment request, in no event will CozmicGo ’ aggregate liability arising out of or in connection with these Payments Terms and your use of the Payment Services including, but not limited to, from your use of or inability to use the Payment Services, exceed the amounts you have paid or owe for bookings via the Cozmicgo Platform as a Guest in the twelve (12) month period prior to the event giving rise to the liability, or if you are a Host, the amounts paid by CozmicGo  to you in the twelve (12) month period prior to the event giving rise to the liability, or one hundred U.S. dollars (US$100), if no such payments have been made, as applicable. The limitations of damages set forth above are fundamental elements of the basis of the bargain between CozmicGo  and you. Some jurisdictions do not allow the exclusion or limitation of liability for consequential or incidental damages, so the above limitation may not apply to you.

 

 

Indemnification

To the maximum extent permitted by applicable law, you agree to release, defend, indemnify, and hold Cozmicgo and its affiliates and subsidiaries, and their officers, directors, employees, and agents, harmless from and against any claims, liabilities, damages, losses, and expenses, including, without limitation, reasonable legal and accounting fees, arising out of or in any way connected with (i) your breach of these Payments Terms; (ii) your improper use of the Payment Services; (iii) CozmicGo ’ Collection and Remittance of Occupancy Taxes; or (iv) your breach of any laws, regulations, or third-party rights.

 

CozmicGo  may immediately, without notice terminate this Agreement if (i) you have materially breached your obligations under this Agreement; (ii) you have provided inaccurate, fraudulent, outdated, or incomplete information; (iii) you have violated applicable laws, regulations, or third-party rights; or (iv) Cozmicgo believes in good faith that such action is reasonably necessary to protect other Members, Cozmicgo, or third parties (for example in the case of fraudulent behavior of a Member).

 

In addition, Cozmicgo may limit or temporarily or permanently suspend your use of or access to the Payment Services (i) to comply with applicable law, or the order or request of a court, law enforcement, or other administrative agency or governmental body, or if (ii) you have breached these Payments Terms, the Cozmicgo Terms, applicable laws, regulations or third-party rights, (iii) you have provided inaccurate, fraudulent, outdated, or incomplete information regarding a Payment Method or Payout Method, (iv) any amounts you owe under these Payments Term are overdue or in default, or (v) Cozmicgo believes in good faith that such action is reasonably necessary to protect the personal safety or property of Cozmicgo, its Members, or third parties, or to prevent fraud or other illegal activity.

 

If you are a Host and we take any of the measures described in this Section we may refund your Guests in full for any and all confirmed bookings, irrespective of preexisting cancellation policies, and you will not be entitled to any compensation for pending or confirmed bookings that were cancelled.


If you are contracting with Cozmicgo, these Payments Terms will be interpreted in accordance with the laws of the State of California and the United States of America, without regard to conflict-of-law provisions. Judicial proceedings must be brought in state or federal court in Contra Costa County, California, unless we both agree to some other location. You and we both consent to venue and personal jurisdiction in Contra Costa County, California.

 

Overview of Dispute Resolution Process. Cozmicgo is committed to participating in a consumer-friendly dispute resolution process. To that end, these Payments Terms provide for a two-part process for individuals to whom applies: (1) an informal negotiation directly with Cozmicgo’s customer service team, and (2) a binding arbitration administered by the American Arbitration Association (“AAA”) using its specially designed Consumer Arbitration Rules (as modified). Specifically, the Consumer Arbitration Rules provide:

 

Agreement to Arbitrate. You and CozmicGo  mutually agree that any dispute, claim or controversy arising out of or relating to these Payments Terms or the applicability, breach, termination, validity, enforcement or interpretation thereof, or to the use of the Payment Services (collectively, “Disputes”) will be settled by binding individual arbitration (the “Arbitration Agreement”). If there is a dispute about whether this Arbitration Agreement can be enforced or applies to our Dispute, you and CozmicGo  agree that the arbitrator will decide that issue.

 

Jury Trial Waiver. You and CozmicGo  acknowledge and agree that we are each waiving the right to a trial by jury as to all arbitrable Disputes.

 

No Class Actions or Representative Proceedings. 

You and CozmicGo  acknowledge and agree that, to the fullest extent permitted by applicable law, we are each waiving the right to participate as a plaintiff or class member in any purported class action lawsuit, class-wide arbitration, private attorney general action, or any other representative proceeding as to all Disputes. Further, unless you and CozmicGo  both otherwise agree in writing, the arbitrator may not consolidate more than one party’s claims and may not otherwise preside over any form of any class or representative proceeding. If the “class action lawsuit” waiver or the “class-wide arbitration” waiver in this Section is held unenforceable with respect to any Dispute, then the entirety of the Arbitration Agreement will be deemed void with respect to such Dispute and the Dispute must proceed in court. If the “private attorney general action” waiver or the “representative proceeding” waiver in this section is held unenforceable with respect to any Dispute, those waivers may be severed from this Arbitration Agreement and you and CozmicGo  agree that any private attorney general claims and representative claims in the Dispute will be severed and stayed, pending the resolution of any arbitrable claims in the Dispute in individual arbitration.

 

Severability.

in the event that any portion of this Arbitration Agreement is deemed illegal or unenforceable, such provision shall be severed and the remainder of the Arbitration Agreement shall be given full force and effect.

 

Survival. 

this Section will survive any termination of these Payments Terms and will continue to apply even if you stop using the Payment Services or terminate your Cozmicgo Account.

 

General Provisions

Except as they may be supplemented by additional terms and conditions, policies, guidelines, or standards, these Payments Terms constitute the entire Agreement between CozmicGo  and you regarding the subject matter hereof, and supersede any and all prior oral or written understandings or agreements between CozmicGo  and you regarding the Payment Services.

 

No joint venture, partnership, employment, or agency relationship exists between you or CozmicGo  as a result of this Agreement or your use of the Payment Services.

 

If any provision of these Payments Terms is held to be invalid or unenforceable, such provision will be struck and will not affect the validity and enforceability of the remaining provisions.

 

CozmicGo ’ failure to enforce any right or provision in these Payments Terms will not constitute a waiver of such right or provision unless acknowledged and agreed to by us in writing. Except as expressly set forth in these Payments Terms, the exercise by either party of any of its remedies under these Payments Terms will be without prejudice to its other remedies under these Payments Terms or otherwise permitted under law.

 

Communication. 

It is your responsibility as a Host to ensure that you provide us with a current, accurate, and valid email address.

 

Experience Ratings.   

Host acknowledges and agrees that Guests will be given an opportunity to rate their Experience(s). Guests will be able to provide a 1-5 star rating at the conclusion of an Experience.  Consistently negative ratings by Guests shall be grounds for the Company to put Host's account "under review” or terminate them from the site. 

 

Ratings and Reviews by Guests and Hosts must be accurate and may not contain any offensive or defamatory language. Ratings and Reviews must comply with CozmicGo’s Content Policy and Extortion Policy.

 

Members are prohibited from manipulating the Ratings and Reviews system in any manner, such as instructing a third party to write a positive or negative Review about another Member.

 

 

by signing up for CozmicGo I ACKNOWLEDGE THAT (1) I AM 18 YEARS OF AGE OR OLDER; (2) I accept THE AGREEMENT FREELY AND VOLUNTARILY; AND (3) I HAVE READ, I UNDERSTAND, AND I AGREE TO THE WAIVER, RELEASE, LIMITATION OF LIABILITY, ASSUMPTION OF RISK AND INDEMNITY PROVISIONS CONTAINED IN THIS ENTIRE AGREEMENT.

Booking Agreement

 

We are CozmicGo INC ("Company" or "we"), and we look forward to the opportunity to act as your platform for various exciting experiences and events (collectively, the "Experiences"). This Guest Booking Agreement (the "Agreement") describes what you are legally entitled to expect from us when you book your Experiences via the Company's Web site(s) and/or App(s) located at www.cozmicgo.org and/or software application (collectively, the "Site") in addition to your obligations as a customer. The term "you" as used in this Agreement refers to a customer using the Site, booking an Experience  through the Site, or otherwise using the Company's services or mobile application. In order to use the Site you must be at least 18 years of age. 

 

IMPORTANT NOTICE.

 

BY SIGNING UP FOR AN ACCOUNT ON THE SITE AND/OR USING THE SITE, YOU ARE INDICATING YOUR ASSENT TO THE TERMS AND CONDITIONS OF THIS AGREEMENT. USE OF THE SITE IS SUBJECT TO YOUR ASSENT TO THE FEES AND PAYMENT TERMS POSTED FOR EACH Experience . YOU SHOULD READ ALL THE TERMS OF THIS AGREEMENT CAREFULLY. THIS AGREEMENT, THE COMPANY'S POSTED TERMS OF USE AND ITS POSTED PRIVACY POLICY REPRESENT THE ENTIRE AGREEMENT BETWEEN YOU AND THE COMPANY REGARDING YOUR USE OF THE SITE, AND IT SUPERSEDES ANY PRIOR PROPOSAL, REPRESENTATION, OR UNDERSTANDING BETWEEN THE PARTIES. 

 

IF YOU AGREE TO BE BOUND BY ALL OF THE TERMS OF THIS AGREEMENT, SIGN UP AND PROVIDE YOUR PERSONAL INFORMATION TO ACTIVATE YOUR ACCOUNT ON THE SITE. 

 

IF YOU DO NOT AGREE TO THE BOUND BY ALL THE TERMS OF THIS AGREEMENT, THE COMPANY IS UNWILLING TO GRANT YOU ANY RIGHTS TO USE THE SITE, AND YOU MUST STOP YOUR USE OF THE SITE.  NOTWITHSTANDING THE FOREGOING, SETTING UP AN ACCOUNT WITH US AND/OR USING THE SITE INDICATES YOUR ACCEPTANCE OF THE TERMS OF THIS AGREEMENT.

 

AGREEMENT

Our Agreement with You. 

 

You should carefully review the description of any Experience, Event, or other Host Service you intend to book to ensure you (and any additional guests you are booking for) meet any minimum age, proficiency, fitness or other requirements which the Host has specified in their Listing. At your sole discretion you may want to inform the Host of any medical or physical conditions, or other circumstances that may impact your and any additional guest’s ability to participate in any Experience, Event or other Host Service. In addition, certain laws, like the minimum legal drinking age in the location of the Experience, Event or other Host Service, may also apply. You are responsible for identifying, understanding, and complying with all laws, rules and regulations that apply to your participation in an Experience, Event or other Host Service.

 

You may not bring any additional individuals to an Experience, Event or other Host Service unless such an individual was added by you as an additional guest during the booking process with additional ticket purchase (s) on the CozmicGo Platform and you have made your guest(s) aware of all experience requirements, inherent risks, and agree to the CozmicGo terms and conditions. 

 

Products and Suppliers. 

We have a variety of Experiences posted on the Site by different suppliers and source providers (collectively, the "Hosts"). Each Host is an independent contractor of the Company. Each Host has his/her own requirements that are applicable to each separate Experience  for which you may register, and you should make sure you understand them. The Company is acting as intermediary for the Experiences, which are not directly supplied by us. We are not a co-vendor for the Experiences.

 

How to Book an Experience  

When you book an Experience through the Site or mobile application, it will be listed under the “Booked Experiences” tab in your profile page.  When you arrive to your event  go to your “Booked Experiences” list, find the specific event card your arriving for and use the check-in tab feature so the host can check you in. You may ask the Host questions about the Experience via the Site's messaging service. 

 

Your friends may join you on an Experience if you have purchased an additional ticket for them, but by participating they must agrees to the terms and conditions of CozmicGo. All persons participating in an Experience are required to agree to the terms and conditions of this Agreement as well as the Company's Terms of Use and Privacy Policy as posted on the Site and application and updated from time to time. If you purchase additional tickets for friends to join an event you are responsible for ensuring they understand the terms and conditions of CozmicGo and that they accept the terms and policies before starting.  CozmicGo will not be held liable in any regards for guests brought by a CozmicGo member.  Only the Host or Co-Host identified for an Experience via the Site should lead your Experience .

 

How to Check-In to an Experience

Guest:

Your Profile > Booked Experiences > Upcoming Experiences > Choose Event > Check-in Tab (check-in tab will appear within 24 hours of event start time) > Scan Your Ticket With The Host 

 

Host:

Your Profile > Hosted Experiences > Upcoming Experiences > Choose Event > Scan Tickets Tab (scan tickets tab will appear within 24 hours of event start time) > Scan Your Guest’s Ticket

 

*Note you must have internet connection to scan tickets.  If you are meeting in a place with no internet connection a host can request the guest to screen shot the ticket  and send it to the host when the guest receives internet connection. The host can scan in the ticket prior to the event end with internet connection. 

*Hosts will receive all payments even if guests have not checked-in unless the guest has canceled their booking within the terms of the company policy or requested a refund. If a guest has reported a problem or filed a dispute it may delay host funds or they may be refunded to the guest. 

*Always check-in to events when internet connection is available. 

 

Deposits and Payment. 

The Host sets the price for each Experience . The Company retains a service fee from each completed Experience . The Company uses Stripe Inc. ("Stripe"), for payment processing services on the Site. By using the Stripe payment processing services, you acknowledge and agree to the terms and conditions contained in Stripe's Payment Services Agreement, as may be amended from time to time, available at https://stripe.com/legal and incorporated by this reference. Stripe inc is PCI compliant. 

 

After you book an Experience on the Site your funds will be transferred from your bank account or credit card into Stripe's Escrow Service. You may cancel your booking for the Experience  any time prior to seven (7) days before the Experience's designated start time (the "Start Time") and your funds will be fully refunded from Stripe's Escrow Service into your bank account or credit card. If you cancel your booking for the Experience within seven (7) days of the Start Time, you may (or may not) receive a refund, in the Host's discretion. The period during which you may request a refund (the "Refund Period") commences seven (7) days before the Start Time and ends 48 hours after the amount of time allotted for the Experience 's duration. During the Refund Period, you may request a refund from the Host in writing via the Site's messaging service and explain the reason for the cancellation. Host decides whether or not to refund your funds via Stripe's Escrow Service. Host should respond promptly to your request via the Site's messaging service. The Refund Period is the only time during which you may request a refund from a Host. Following the expiration of the Refund Period, you may submit a claim for a refund (a "Claim") in writing to the Company.

 

All payments shall be made through the Site. Hosts shall not accept payment for an Experience outside the Site. For security reasons, you should not provide your personal information or payment information to a Host or any third party outside the Site.

 

 

Documentation. 

Our general practice is to send documents to our customers electronically whenever possible. 

 

Cancellations and Changes. 

Your Host may cancel a scheduled Experience prior to the Experience 's Start Time based on weather, conditions, unforeseen issues, illness, or emergency, but the Host must provide you with a reason for the cancellation. In such event you will receive a full refund.

If a Host cancels an Experience for any other reason, please let us know by filing a Claim with the Company through the Site, and we will review the situation. 

 

In certain circumstances, CozmicGo may decide, in its sole discretion, that it is necessary to cancel a pending or confirmed booking and initiate corresponding refunds and payouts. This may be for reasons set forth in CozmicGo's Extenuating Circumstances Policy or (i) where CozmicGo believes in good faith, while taking the legitimate interests of both parties into account, this is necessary to avoid significant harm to CozmicGo, other Members, third parties or property, or (ii) for any of the reasons set out in these Terms.

Except as otherwise set out in these Terms, Members may use the the messaging service, Email ( support@cozmicgo.org ), Resolution Center, or Report a Problem tab under Settings to send or request money for refunds. You agree to pay all amounts sent through the (Resolution Center/Report a problem) tab in connection with your CozmicGo Account, and CozmicGo will handle all such payments.
